# Fundsmith Equity Fund, L.P.: SEC filings and what they report

The Delaware limited partnership (Stamford, Connecticut general partner Fundsmith Partners US LLC) through which London-based Fundsmith LLP, led by Terry Smith, offers its global equity strategy to US investors: Rule 506(b), Investment Company Act 3(c)(7) (qualified purchasers only), $250,000 minimum, indefinite continuous offering, first Form D May 6, 2011 with annual amendments each September since 2018. Cumulative sales have risen in every amendment: $320.8 million (2018), $1.13 billion (2021), $1.45 billion (September 2025), $1.47 billion (September 2, 2026). The reported investor count rose from 158 (2018) to 564 (2025) and then fell to 137 in the September 2, 2026 amendment while sales rose $18 million; the filing gives no explanation and AltStreet has not attributed a cause.
