# DiversyFund, Inc.: SEC filings and what they report

The San Diego sponsor behind every DiversyFund vehicle, incorporated in Delaware on August 18, 2016 and majority owned by Craig Cecilio (CEO) and Alan Lewis (Chief Investment Officer). It owns 100% of DF Manager, LLC, the manager of all four retail REITs, sells projects into those REITs, and collects the acquisition, developer, financing, guaranty, disposition and construction management fees at the asset level. Its own finances have collapsed: revenue of $11,638,312 (2022), $1,671,949 (2023), $575,023 (2024) and $94,760 (2025), employees from 14 to 5, cash $272,677, debt $7,693,676, and a FY2025 net loss of $(2,637,245). Its own risk factor states that without new capital it 'would be unable to survive as a going concern and investors in the Company would lose all of their investment'. It is now the obligor on the DF Income promissory notes (Form D 021-554286, $1,000,000 fully sold to 20 investors) and it terminated its Regulation CF reporting by Form C-TR on 2026-05-08.
