# Green Coffee Company Holdings, LLC: SEC filings and what they report

Delaware LLC (formed May 6, 2020; Oak Brook, Illinois) that owns 45 coffee farms with about 10 million trees in Colombia and holds exclusive third-party rights to sell Juan Valdez-branded roasted coffee in the US and Canada. Co-CEOs Cole Shephard and Adam Jason control the managing member. Capital history: Class A private placements totaling about $118.4 million (Form Ds 2020-2025; the September 2025 Form D reports $6.65 million sold to 61 investors under 506(c)); a Regulation CF raise through DealMaker Securities that closed early on April 7, 2026 at $4.28 million; and a Regulation A Tier 2 offering of up to 55.2 million Class B Common Interests at $1.10 (about $60.7 million) qualified July 6, 2026 with DealMaker Securities as broker of record, at a stated $365.8 million pre-money valuation. FY2025 per the Reg CF annual report: revenue $25.9 million (from $34.3 million), net loss $9.0 million (from $5.8 million), cash $1.0 million (from $4.5 million), 299 employees. On September 2, 2026 it disclosed dismissing auditor RSM Puerto Rico (unqualified opinions on FY2024 and FY2025, no disagreements) for M&K CPAS, PLLC, five weeks after the offering qualified on RSM-audited statements.
