# DF Growth REIT II, LLC: SEC filings and what they report

The second DiversyFund Regulation A REIT and the subject of SEC Administrative Proceeding File No. 3-20801. Qualified January 29, 2021; its exemption was temporarily suspended on March 16, 2022 (Securities Act Release 11040) and permanently suspended by settled order on June 9, 2023 (Release 11204), on findings that it failed to commence its offering within two days of qualification, raised its maximum from $50 million to $75 million by supplement rather than a qualified post-qualification amendment, and made inaccurate statements about fees, including a website that still said there were 'no management fees' after a 2% fee had been added. No fine or penalty was imposed, there is no finding of fraud, and the staff closed its investigation on August 9, 2023 without recommending action against any entity or either founder. It raised $11,346,778 and holds five equity investments costing $9,348,353 carried at $4,547,273, about 49% of cost, with $3,024 of cash and book value of about $4.12 per $10 share. Its dissolution date was extended to December 31, 2026.
