# Value Add Growth REIT IV, LLC: SEC filings and what they report

The last DiversyFund retail vehicle, qualified September 27, 2023 for $75,000,000 with Dalmore Group as broker of record, and the site of a second Regulation A compliance failure. It raised $2,111,519. Having missed a timely post-qualification amendment, it disclosed that Class A shares sold between September 28 and December 11, 2024 'may have been issued in violation of federal securities laws and may be subject to rescission'; a rescission offering closed in April 2025 with 6,525 shares rescinded and $65,250 plus statutory interest returned. Before it was ever qualified, the SEC staff had asked it to explain why it was eligible to use Regulation A at all given the Rule 258 suspension order against its affiliate REIT II. Its offering was terminated in December 2024 and the replacement was withdrawn on February 12, 2026 with the statement 'We do not expect to begin a new offering.' It holds five stakes of 0.64% to 5.26% costing $1,188,451 plus $401,884 of debt, with $2,067 of cash.
