# Almco Plumbing Inc: SEC filings and what they report

A small California plumbing contractor whose Regulation A shell changed hands in September 2026. Per the Form 1-U of 2026-09-23 (accession 0001713282-26-000346), Rocky Xingmin Liao acquired 28,780,295 shares, about 89.94% of the 32,000,000 outstanding, from sole officer and director Vladyslav Khorenko for $500,000 in cash effective 2026-09-18; Khorenko resigned the same day and Liao became sole director, President, CEO, CFO, Treasurer and Secretary. On that same date the company signed a letter of intent to acquire Jiangsu Qilian E-Commerce Co., Ltd. of Wuxi, Jiangsu, for a mix of common and preferred stock, with a definitive agreement targeted by approximately 2026-10-31 subject to unspecified administrative actions under Chinese law. The filing's own biography identifies Liao as the current CEO of Jiangsu Qilian, so the incoming controlling shareholder and the chief executive of the acquisition target are the same person. Lock-up agreements were signed with Genova LLC and Tempo Restoration; the 1-U body summarizes the lock-up as running "From September 18, 2026, through March 18, 2026", an end date preceding its start, while Exhibit 3.1 sets the period at six months from the agreement date. The company disclosed in 2025 that its prior auditor would not seek reappointment following a PCAOB sanction and the loss of its certification.
