# PGIF V USD Feeder (Luxembourg) SCSp: SEC filings and what they report

Luxembourg special limited partnership (SCSp) at 15, boulevard F.W. Raiffeisen, Luxembourg, filing as a pooled investment fund of the private equity fund type (SEC file number 021-525375). Its general partner is PGIF V GP (Lux) S.a r.l.; Pantheon Ventures (Ireland) DAC, care of Pantheon Ventures (US) LP in San Francisco, is named as promoter and investment manager; Monique Bachner-Bout, Mark Phillips and Bronwyn Salvat-Winter are listed as managers of the general partner. Three notices are on file. The original Form D of September 30, 2024 reported an indefinite offering and nothing sold; the first sale is dated October 4, 2024. A Form D/A of September 30, 2025 reported $1,270,281,000 sold to 36 investors. A Form D/A of September 30, 2026 reports $3,766,324,000 sold to 105 investors, with the offering amount still indefinite, a stated minimum investment of $0, no non-accredited investors and no sales commissions, finder's fees or payments to related persons. Two sibling vehicles file separately: PGIF V USD Feeder (Delaware) LP (CIK 2023416), which reported $700,000,000 sold to 31 investors on a notice also filed September 30, 2026, and PGIF V EUR Feeder (Luxembourg) SCSp (CIK 2034375), which reports no U.S. investors. The notices do not name the master fund, state a target size, or say whether the feeders' figures overlap; a Form D reports cumulative, unaudited sales as of its date.
