The Form D/A of October 23, 2026 names that notice as its prior filing, dates the first sale July 7, 2025 and reports an offering and amount sold of $1,150,000,000 to one investor with nothing remaining, no minimum investment, no non-accredited investors and no sales compensation. The amount is cumulative since the 2025 first sale; the date of first sale is when the first investor became irrevocably committed, so the filings do not establish when cash was contributed, whether the figure is committed or drawn capital, the investor's identity, the adviser of record or the fees. Whether the amendment was due by the July 3, 2026 anniversary cannot be determined because neither notice says whether the offering was still open on that date.
