# Augment Collective Reports $68.4 Million Sold Across Seventeen Offering Notices

Seventeen Form D notices filed by Augment Collective, LLC between July 28 and October 2, 2026 report $68,380,501 sold across 272 investor slots and $6,096,159 of sales commissions to Augment Capital, LLC, 8.92 percent of aggregate reported sales, with per-notice ratios from 3.0 to 10.6 percent. None of the notices names the company whose shares the series holds.

By Michael E., Head of Research, AltStreet Research (https://altstreet.investments/authors/michael-e). Published October 14, 2026. Platform: Augment (https://altstreet.investments/platforms/reviews/augment). Entity: Augment Collective, LLC (CIK 2023866, https://altstreet.investments/edgar/2023866).

Augment Collective, LLC, the Delaware series company through which the pre-IPO marketplace Augment pools accredited investors into single-company vehicles, reported $68,380,501 sold across 272 investor slots in seventeen Form D notices filed between July 28 and October 2, 2026. Every one of the seventeen reports a sales commission in Item 15, payable to Augment Capital, LLC, the platform's affiliated broker-dealer: $6,096,159 in total, 8.92 percent of aggregate reported sales, and between 3.0 and 10.6 percent of the amount sold on individual notices. The notices do not name the companies the series hold.

## What the notices show

The seventeen notices are uniform in form: one issuer name, one CIK, a separate SEC file number for each offering, Rule 506(b) with the Section 3(c)(1) exclusion on every notice, and a total offering amount equal to the amount sold. The amounts are concentrated: the August 18 notice reports $24,987,021 from 50 investor slots, and the August 3 notice $10,960,077 from 44; together they are more than half of the total. Reported minimum investment accepted is $10,000 on ten notices, $25,000 on three, $50,000 on one, $100,000 on two and $1,000,000 on one.

The reported commissions are the finding. On the August 18 notice, the largest, the commission is $2,640,200, 10.6 percent of the amount sold; on the August 5 notice it is $31,624 on $300,011, 10.5 percent. At the other end, the August 13 notice reports $32,300 on $1,062,400 (3.0 percent) and the August 11 single-investor notice $31,320 on $783,000 (4.0 percent). Three notices (the second of September 2, September 16 and the first of September 29) flag their commission as an estimate; the other fourteen do not. Form D does not say whether a reported figure has been paid.

One notice does not reconcile on its face. The first notice of August 11 (file number 021-593787) reports $783,000 sold to one investor with a minimum investment accepted of $1,000,000, a minimum larger than the whole amount sold. The notice carries no clarification text, and nothing in it explains the entry. AltStreet reports the fields as filed.

Seventeen notices in ten weeks is an average filing frequency, not evidence of launches at intervals, and the first-sale dates precede the filings by six to sixteen days. By AltStreet's count of Augment Collective's first notices in the Form D ledger, the months ran 13 in March, 10 in April, 4 in May, 5 in June, 6 in July, 9 in August and 5 in September, so the period is within the program's recent range. AltStreet counts seventeen separate offerings because the EDGAR index assigns each notice its own 021- file number; the notices themselves do not name the series or the company.

Dates are 2026 (month/day). Every notice reports its total offering amount equal to the amount sold. Commission is the sales commission reported in Item 15, payable to Augment Capital, LLC; "est." marks the 3 notices that flag the figure as an estimate. Share of sold is AltStreet arithmetic. ## Background

Augment sells named pre-IPO exposure from $10,000 through series of Augment Collective, LLC, with Augment Capital, LLC (CRD 322519), a FINRA broker-dealer that also operates an alternative trading system, as the placement agent. Augment's Collective page describes the funds as "0-and-0: no management fees and no carry" and lists a "one-time upfront fee" among its steps to invest. A sales commission is not a management fee or carry; the Item 15 figure is the public measure of that upfront compensation, and what the seventeen notices add is its size and how much it varies from one offering to the next.

As historical context, AltStreet's Augment review of October 9, 2026 read all 107 Augment Collective notices filed since 2024. Reported commissions equaled 7.33 percent of aggregate reported sales ($22,641,622 on $309,027,707), with a 2026 median of 7.0 percent per notice and 20 of 59 notices in 2026 at 8 percent or more. That is an aggregate ratio, not the fee paid by a typical investor. Augment Capital's Form CRS states an average of 1 to 7.5 percent, and the affiliated adviser's brochure allows up to 10 percent plus markups. The seventeen notices since July 28 run above the program's aggregate, at 8.92 percent, and two of them report ratios above 10 percent.

## Why it matters

For an investor evaluating an Augment offering, the Form D is the one public document that will later report what was sold and, in Item 15, the sales compensation reported for the placement agent. These seventeen show that figure ranging from 3.0 to 10.6 percent across offerings filed ten weeks apart, with the largest offering at the top of the range, on a program whose public description leads with the absence of management fees and carry. The notices do not say how the rate on a given offering is set, and they will not say which company the series holds.

## What the notices do not show

The notices do not name the underlying companies, the price per share, or the terms on which each series bought its position. Item 15 amounts are as reported; three are flagged as estimates, and the form does not distinguish amounts paid from amounts payable. The 272 total counts investor slots, not unique investors, since the same person may invest in several series. A Form D is a snapshot: an amendment is required to correct a material mistake and for certain changes, and annually while an offering continues, but additional sales alone do not generally require an immediate amendment; no amendment to any of the seventeen had been filed as of October 14. The July 31 notice gives the recipient's CRD number as 332519 where the other sixteen give 322519, which AltStreet reads as a typographical error. AltStreet's count rests on the EDGAR index for CIK 2023866 between July 28 and October 2; it matched no notice to a company.

## Key facts

- Augment Collective, LLC (CIK 2023866) filed seventeen original Form D notices between July 28 and October 2, 2026, each with its own SEC file number (021-592367 through 021-599813); no amendments to them were on file as of October 14
- The seventeen report $68,380,501 sold across 272 investor slots (AltStreet arithmetic); every notice reports its offering amount equal to its amount sold; the largest are August 18 ($24,987,021, 50 slots, $25,000 minimum) and August 3 ($10,960,077, 44 slots)
- Item 15 sales commissions, payable to Augment Capital, LLC (CRD 322519), are reported on all seventeen: $6,096,159 in total, 8.92 percent of aggregate reported sales; per-notice ratios from 3.0 percent (August 13) to 10.6 percent (August 18); three notices flag the figure as an estimate
- Reported minimum investment accepted: $10,000 on ten notices, $25,000 on three, $50,000 on one, $100,000 on two, $1,000,000 on one; the $1,000,000-minimum notice (August 11, 021-593787) reports $783,000 sold to one investor and does not explain the mismatch
- Augment's Collective page describes the funds as "0-and-0: no management fees and no carry" and lists a "one-time upfront fee"; the Item 15 commission is a different fee category from management fees and carry
- Historical context from AltStreet's October 9 review of all 107 notices since 2024: reported commissions equaled 7.33 percent of aggregate reported sales ($22,641,622 on $309,027,707), 2026 median 7.0 percent per notice; Form CRS states 1 to 7.5 percent on average, the adviser's brochure allows up to 10 percent plus markups
- Ledger counts of Augment Collective first notices by month in 2026: March 13, April 10, May 4, June 5, July 6, August 9, September 5; first-sale dates precede the filings by six to sixteen days
