# Bridgepoint Europe VIII Vehicles Report $8.15 Billion Sold as Sponsor Targets €8.65 Billion Hard Cap

Forms D/A filed October 20 report $5.47 billion sold by Bridgepoint Europe VIII A SCSp and $2.68 billion by B SCSp, both with a first sale on October 30, 2025. Two UK feeder partnerships reported $231 million and $95 million four days earlier; whether that capital sits inside the main vehicles' totals is not stated. The sponsor's October 7 trading update puts the fund at €7.8 billion of commitments toward an €8.65 billion hard cap.

Bridgepoint Group's eighth European buyout fund put its U.S. private-placement figures on the record this week. Forms D/A filed October 20, 2026 report $5,471,143,602 sold by Bridgepoint Europe VIII A SCSp and $2,677,754,453 by Bridgepoint Europe VIII B SCSp, the two Luxembourg partnerships that filed notice of their exempt offerings in September 2025 with nothing sold. Both amendments date the first sale October 30, 2025. The two reported amounts sum to $8,148,898,055.

Four days earlier, two UK feeder partnerships had amended their own notices: Bridgepoint Europe VIII Feeder A LP with $230,870,410 sold and Feeder B LP with $95,303,700. Feeders by their nature channel investors into main vehicles, so some or all of that $326 million may already be inside the SCSps' totals; the filings do not say. The sponsor's October 7 trading update puts the fund at €7.8 billion of commitments and expects it to reach its €8.65 billion hard cap by the end of the year.

## What the eight filings say

The A SCSp's Form D (accession 0002080919-25-000001, September 17, 2025) and the B SCSp's (accession 0002080918-25-000001, September 18, 2025) each gave notice of an exempt offering of indefinite size under Rule 506(b) and section 3(c)(7), the exclusion for funds sold only to qualified purchasers, with the first sale yet to occur. The October 20, 2026 amendments (accessions 0002080919-26-000001 and 0002080918-26-000001) date the first sale October 30, 2025, about six weeks after the original notices, and arrive nearly a year after that first sale. They keep the offering indefinite and report $5,471,143,602 and 151 investors for the A vehicle and $2,677,754,453 and 56 investors for the B vehicle. Neither reports sales compensation or a minimum investment. The same five directors appear on both amendments, three of them new since the originals, and Aurelie Ritter signed both as manager of the general partner.

The feeders are UK limited partnerships at 5 Marble Arch, London, promoted by Bridgepoint Europe VIII GP LLP, Bridgepoint Europe VIII GP 2 Limited, Bridgepoint Europe (SGP) Ltd of Edinburgh and Bridgepoint Advisers Limited, claiming section 3(c)(1) as well as 3(c)(7). Their Forms D of November 28, 2025 reported nothing sold. Their amendments of October 16, 2026 (accessions 0002097266-26-000001 and 0002097269-26-000001) report $230,870,410 sold to five investors and $95,303,700 sold to five, and in the same form answer that the date of first sale has yet to occur. The two answers cannot both be right, and the filings do not say which is; the amounts are reported here as filed.

| Vehicle | Form | Jurisdiction | Reported sold | Investors | First sale |
| --- | --- | --- | --- | --- | --- |
| Bridgepoint Europe VIII A SCSp | D/A, Oct. 20, 2026 | Luxembourg | $5,471,143,602 | 151 | Oct. 30, 2025 |
| Bridgepoint Europe VIII B SCSp | D/A, Oct. 20, 2026 | Luxembourg | $2,677,754,453 | 56 | Oct. 30, 2025 |
| Bridgepoint Europe VIII Feeder A LP | D/A, Oct. 16, 2026 | United Kingdom | $230,870,410 | 5 | stated as yet to occur |
| Bridgepoint Europe VIII Feeder B LP | D/A, Oct. 16, 2026 | United Kingdom | $95,303,700 | 5 | stated as yet to occur |

Amounts and investor counts as reported on each Form D/A. Whether the feeders' capital is also counted in the SCSps' totals is not stated, so the four rows are not summed; investor counts are per vehicle and may overlap.

## The sponsor's own numbers

Bridgepoint Group plc, listed in London since July 2021, reported on October 7, 2026 that Bridgepoint Europe VIII has raised €7.8 billion of commitments, became fee paying on June 9, 2026, and is expected to be fully allocated by the end of 2026 at the hard cap of €8.65 billion, an increase of about 24% from BE VII at €7.0 billion. The same update said the group had exceeded its €28 billion fundraising target for the mid-2024 to 2026 cycle one quarter early and that Bridgepoint Direct Lending IV had closed at €5.1 billion. Bloomberg had reported in April 2026 that the fund held a first close above €6 billion.

The U.S. notices and the sponsor's figure measure different things in different currencies. The Form Ds report dollar amounts sold by four vehicles under Regulation D; the trading update reports euro commitments to the fund as a whole. No document reconciles the reported $8.15 billion with €7.8 billion, and AltStreet does not attempt the conversion.

## The pattern in AltStreet's data

The structure repeats the predecessor's. AltStreet's ledger holds Bridgepoint Europe VII A SCSp and B SCSp, four UK partnerships (A, B, C and D LP) and two feeders (Bridgepoint Europe VII Feeder LP and Lincoln Feeder LP), with Forms D filed between 2021 and 2024. For Fund VIII the ledger shows the four filers named here and no other as of October 22, 2026. AltStreet's monitoring flagged the two SCSp amendments as first-sale notices on the same day; the feeder amendments were on the record four days earlier.

## Why it matters

The amendments establish, in a primary document, that a flagship European buyout fund reported $8.15 billion of interests sold through two Luxembourg vehicles within a year of its first sale. That is a reported amount, not a measure of unique capital raised across the structure and not a final close; the sponsor's euro commitment figure describes the fund as a whole and can neither confirm nor contradict it. For a limited partner reconciling its own commitment to the fund's reported size, the filings show which vehicle it sits in and how many investors that vehicle reports; they do not show the fund's final size, which the sponsor expects at the hard cap by year end.

## What the filings do not show

The Form Ds do not state the exchange basis for the dollar amounts of a euro fund, whether the feeders' sales are included in the SCSps' totals, or whether any investor is counted in more than one vehicle. They do not give the fund's terms, fees or investments, and they do not say why the feeders report sales while stating that their first sale has yet to occur. AltStreet has not asked Bridgepoint for comment.

## Key facts

Its Form D of September 17, 2025 (accession 0002080919-25-000001) reported no sale yet. Bridgepoint Europe VIII B SCSp (CIK 2080918): Form D/A of the same date (accession 0002080918-26-000001) reports $2,677,754,453 sold and 56 investors, first sale October 30, 2025, after a Form D of September 18, 2025 with nothing sold. The two reported amounts sum to $8,148,898,055; the investor counts are per vehicle and may overlap.
- Both SCSps are Luxembourg partnerships formed in 2025 at 6B rue du Fort Niedergrünewald, with BE VIII GP SCSp and Bridgepoint Europe VIII (GP) S.à r.l. as promoters and five directors (Aurelie Ritter, David Antoine, Marianne Loh, Mpea Bokomba, Mithat Rasgen); Aurelie Ritter signed as manager of the GP S.à r.l. No sales compensation is reported and no minimum investment is stated.
- Bridgepoint Europe VIII Feeder A LP (CIK 2097266) and Feeder B LP (CIK 2097269), UK partnerships at 5 Marble Arch, London, filed Forms D/A on October 16, 2026 (accessions 0002097266-26-000001 and 0002097269-26-000001) reporting $230,870,410 sold to five investors and $95,303,700 sold to five investors, claiming both section 3(c)(1) and 3(c)(7). Each amendment also answers that the date of first sale has yet to occur, as the originals of November 28, 2025 did. Promoters: Bridgepoint Europe VIII GP LLP, Bridgepoint Europe VIII GP 2 Limited, Bridgepoint Europe (SGP) Ltd of Edinburgh and Bridgepoint Advisers Limited; Rachel Clare Thompson signed as director of the designated members and of the manager.
- Bridgepoint Group plc's trading update of October 7, 2026 says Bridgepoint Europe VIII has raised €7.8 billion of commitments, became fee paying on June 9, 2026, and is expected to be fully allocated by the end of 2026 at its €8.65 billion hard cap, about 24% larger than BE VII at €7.0 billion; the group said it had exceeded its €28 billion fundraising target for the mid-2024 to 2026 cycle a quarter early. The dollar amounts on the Form Ds and the euro commitments in the update measure different things and are not reconciled by any document.
- AltStreet's ledger holds the predecessor fund's U.S. notices in the same shape: Bridgepoint Europe VII A SCSp, B SCSp, A LP, B LP, C LP, D LP, Feeder LP and Lincoln Feeder LP filed Forms D between 2021 and 2024. No other Bridgepoint Europe VIII filer appears in the ledger as of October 22, 2026.
