# DXD Self Storage Fund III Lowers Its Stated Offering Maximum to $200 Million After Reporting $22.3 Million Sold

The annual Form D amendment for the two Fund III vehicles lowers the stated maximum from $300 million to $200 million and reports $22,266,666 sold to 32 investors, up from $10,506,250 from 19 at the first notice.

By Michael E., Head of Research, AltStreet Research (https://altstreet.investments/authors/michael-e). Published October 15, 2026. Entity: DXD SELF STORAGE FUND III QP, LP (CIK 2092521, https://altstreet.investments/edgar/2092521).

DXD Self Storage Fund III lowered its stated offering maximum from $300,000,000 to $200,000,000 in a Form D amendment filed October 13, 2026 (accession 0002092636-26-000002), which reports $22,266,666 sold to 32 investors since a first sale on October 8, 2025.

## What the filings show

One notice covers two Delaware limited partnerships organized in 2025, DXD Self Storage Fund III QP, LP and DXD Self Storage Fund III, LP. Because they file jointly, the amount sold and the investor count describe the offering across both vehicles, and adding separate figures for each would double-count. The notice lists Rule 506(b) and the Section 3(c)(1) and 3(c)(7) exclusions for the offering as a whole; it does not say which exclusion each partnership relies on.

The original notice of October 22, 2025 (accession 0002092636-25-000002) reported a $300,000,000 stated maximum with $10,506,250 already sold to 19 investors. A year later the reported total is $11,760,416 and 13 investors higher, at $22,266,666 from 32, which is 11.1% of the new $200,000,000 maximum and leaves $177,733,334 unsold. The amendment reports no non-accredited investors, no sales commissions or finders' fees, and a $500,000 minimum investment. The related persons are Andrew Dolan, principal and fund manager of the general partner, who signed for both issuers, and Cory Sylvester, principal of the general partner, both at the general partner's Albuquerque office.

The manager, DXD SS Fund Management, LLC (business name DXD Capital, CRD 329580), reports $353,396,959 of discretionary regulatory assets under management on its Form ADV, last amended September 2, 2026, all of it in 21 pooled investment vehicles. Its private fund schedule lists both Fund III partnerships, each with a $500,000 minimum: the QP partnership with a gross asset value of $2,554,536 and about 23 beneficial owners, and the other with $46,154 and about 2, the adviser and its related persons holding about 3% of each. Gross asset value and amount sold are different measures, and the two filings carry different dates; the ADV figures are not a reconciliation of the Form D total.

## Why it matters

The amendment records a lower offering amount but does not explain whether it reflects fundraising demand, deployment plans or another consideration. A Form D offering amount is a stated maximum the issuer sets and can revise; the filing reports the revision and the sales to date, not the reason.

## What the filings do not show

The amendment does not explain the reduction, divide the $22,266,666 between the two partnerships, or describe the self-storage properties the funds own or are building. It does not report returns or distributions. The adviser's assets under management cover all 21 of DXD Capital's pooled vehicles, not Fund III alone.
