# Nineteen EquityZen Series Report $10.5 Million Sold, Without Naming Underlying Companies

Nineteen series of EquityZen Growth Technology Fund LLC filed first Form D notices between September 22 and October 9, 2026, each reporting its full offering amount sold at filing, $10.5 million in total across 518 investor slots. None names the company whose shares it holds.

By Michael E., Head of Research, AltStreet Research (https://altstreet.investments/authors/michael-e). Published October 14, 2026. Platform: EquityZen (https://altstreet.investments/platforms/reviews/equityzen). Entity: EquityZen Growth Technology Fund LLC.

Nineteen series of EquityZen Growth Technology Fund LLC reported a combined $10,528,080 sold across 518 investor slots in first Form D notices filed between September 22 and October 9, 2026, from $175,145 to $1.5 million per series, and none of the nineteen names the company whose shares it holds. The series are the single-purpose vehicles through which the Morgan Stanley-owned marketplace pools accredited investors into one private company position each. Every notice reports its offering amount equal to its amount sold, with nothing remaining.

## What the filings show

The notices are uniform. Each series is a Delaware LLC series with its own CIK, claims Rule 506(b) with the Section 3(c)(1) exclusion, and reports a first sale between September 8 and October 7. The largest, Series 2384, reports $1,500,000 from 55 investors; the smallest, Series 2380, $175,145 from 16. The reported minimum investment accepted is near $10,000 on sixteen notices (between $9,021 and $10,058), $5,000 and $5,060 on two, and $25,075 on Series 2401. Sales commissions are reported as payable to EquityZen Securities LLC (CRD 281820): 2.5 percent of the amount sold on thirteen notices, 2.0 percent on Series 2392, 1.1 percent on Series 2397, and an explicit $0 on three (Series 2383, 2406, 2387).

Offering amount equal to amount sold supports one reading: each series reported nothing left to sell when it filed. It does not establish that demand exceeded supply or that an independently set target was reached, because the notices do not say how the offering sizes were set. A series sized to a block already placed would report the same figures.

Nineteen first notices in eighteen days is a faster pace than the platform's recent months. By AltStreet's count of EquityZen Growth Technology Fund series in the Form D ledger, first notices numbered 19 in June, 18 in July, 18 in August and 15 in September as a whole, roughly one every two days; the run from September 22 to October 9 is about one a day.

Dates are 2026 (month/day). Amount sold equals the total offering amount on every notice. Commission is the sales commission reported on the notice, payable to EquityZen Securities LLC, as a share of the amount sold; it is not the whole fee a buyer or seller paid. ## Background

EquityZen aggregates accredited buyers into a fund that buys a block of a private company's shares from an employee or early holder, so that buyers hold fund interests and do not appear on the company's cap table. Morgan Stanley Wealth Management acquired EquityZen in January 2026. On February 19, 2026, it announced that buy-side and sell-side transaction fees on the marketplace were reduced to 2.5 percent from 5 percent for most transactions, effective immediately. The commission ratios in the nineteen notices are consistent with that published rate. They are what the notices report as sales commissions, and they do not by themselves establish everything a buyer or seller paid on a given transaction.

What the notices omit is the company. EquityZen's series are numbered, not named, on EDGAR; the platform's launch emails and listing pages carry the name. AltStreet received EquityZen's October 8 launch email for a PsiQuantum offering but could not establish a verified link between that email and any particular series, because neither the email nor the filings state which series holds which company.

## Why it matters

For a reader of the filings, the nineteen notices establish the platform's cadence and unit size: a flow of vehicles of approximately $175,000 to $1.5 million, at reported minimums near $10,000 and at commission ratios matching the rate the platform published in February, each reported as fully placed when the notice was filed. They do not establish which companies the series hold, at what price per share, or whether any series could have sold more.

## What the filings do not show

The notices do not name the underlying companies or the price per share. A Form D is a snapshot: an amendment is required to correct a material mistake and for certain changes, and annually while an offering continues, but a change only in the amount sold or remaining does not by itself require one, so sales after a notice would not necessarily trigger an update. The 518-slot total counts the same investor more than once if they bought into several series. AltStreet's count covers series whose filer name begins with EquityZen Growth Technology Fund LLC; a series filed under another name would be missed. AltStreet has not matched any series to a company and has not verified the fees paid on any transaction beyond what the notices report.

## Key facts

- Nineteen series of EquityZen Growth Technology Fund LLC filed first Form D notices between September 22 and October 9, 2026, each under its own CIK: Series 2366, 2367, 2375, 2378, 2379, 2380, 2382, 2383, 2384, 2385, 2386, 2387, 2390, 2392, 2395, 2397, 2401, 2404 and 2406
- Combined $10,528,080 reported sold across 518 investor slots (AltStreet arithmetic; an investor in several series is counted in each); every notice reports its offering amount equal to its amount sold, from $175,145 (Series 2380, 16 investors) to $1,500,000 (Series 2384, 55 investors)
- Reported minimum investment accepted: near $10,000 on sixteen notices, $5,000 and $5,060 on two, $25,075 on Series 2401
- Reported sales commissions payable to EquityZen Securities LLC (CRD 281820): 2.5 percent of the amount sold on thirteen notices, 2.0 percent on Series 2392, 1.1 percent on Series 2397, $0 on Series 2383, 2406, 2387
- Morgan Stanley Wealth Management announced on February 19, 2026 that EquityZen's buy-side and sell-side fees were cut to 2.5 percent from 5 percent for most transactions, effective immediately; the notices' commission ratios are consistent with that rate but do not establish the whole fee paid
- First notices by EquityZen Growth Technology Fund series in AltStreet's Form D ledger: 19 in June, 18 in July, 18 in August, 15 in September 2026; nineteen in the eighteen days from September 22 to October 9
- None of the notices names the underlying company; AltStreet could not establish a verified link between EquityZen's October 8 PsiQuantum launch email and a particular series
