# Six Landa Home Sales Show $86,933 in Seller Proceeds, $11,360 Available for Final Distributions

Landa App LLC and Landa App 2 LLC reported six single-family sales on October 20, 2026. Four series report no final liquidation distribution and two report $0.44 and $0.70 a share available; the filings do not reconcile the seller proceeds on the attached settlement statements with those amounts.

By Michael E., Head of Research, AltStreet Research (https://altstreet.investments/authors/michael-e). Published October 20, 2026. Platform: Landa (https://altstreet.investments/platforms/reviews/landa). Entity: Landa App LLC (CIK 1815103, https://altstreet.investments/edgar/1815103).

Landa App LLC and Landa App 2 LLC reported on October 20, 2026 that six of their single-family rental series completed the sale of their only houses between August 20 and September 28, 2026, for $740,176.52 combined, and that the Manager approved each series' dissolution, effective on the final distribution of sale proceeds ([Landa App LLC Form 1-U](https://www.sec.gov/Archives/edgar/data/1815103/000181510326000010/); [Landa App 2 LLC Form 1-U](https://www.sec.gov/Archives/edgar/data/1875877/000187587726000005/)). Four series report no final liquidation distribution. 8652 and 8653 Ashley Way in Douglasville, Georgia report $0.44 and $0.70 a share available for one.

The settlement statements attached to the reports show $86,932.65 in seller proceeds across the six closings, after mortgage payoffs, taxes and closing costs. The reports make $11,359.95 available for final distributions and attribute the $75,572.70 difference to liabilities and expenses. Seller proceeds and cash available to equity holders are different stages of the accounting, and outstanding liabilities, reserves and dissolution costs can legitimately account for the gap; what the disclosures do not provide is an itemized reconciliation between the two.

## What the filings show

Each report says the series sold its sole asset under a purchase and sale agreement and that the Manager, Landa Holdings, Inc., approved its dissolution, which "will be effective upon the final distribution of the sale proceeds to its investors, at which point all outstanding membership interest units of the Series will be cancelled." The reports do not say how that condition applies to the four series with nothing available to distribute. For those four, a footnote states: "The proceeds from the sale were used in their entirety to pay liabilities and expenses. As a result, no net proceeds remained available for distribution to the members of such Series." The Landa App 2 report lists 126 Wildwood Road's liabilities and expenses at $147,000.00, the full sale price.

Each settlement statement itemizes the closing: the first mortgage paid off, to Shellpoint Mortgage Servicing on four houses and to McCormick 101, LLC and McCormich 106, LLC (as spelled on the statement) on the other two, and a final line of proceeds to the seller. The difference column below is the amount between those seller proceeds and the reported final distribution that the filings do not itemize; it is a difference requiring reconciliation, not an amount owed to investors.

## Background

Landa sold $5 shares in individual rental houses through an app that has been unreachable since April 2025, and its four Regulation A issuers have since lost or sold property after property; [AltStreet's review of Landa](/platforms/reviews/landa) tracks the full record. Most dissolutions reported so far made no final distribution.

Earlier filings document affiliate borrowing by all six series. CEO Yishai Cohen personally lent four of them between $10,672.38 and $14,084.14 in June 2025, and the other two $339 and $504 in February 2026, at 0% interest; the June 2025 filing says the loans met reinstatement demands from senior lenders to avoid default and foreclosure. Landa Financing LLC, the affiliated lending fund, followed with smaller loans at 10%. The table lists those identified historical loan disclosures. They are not payoff balances: entries may be renewals of one another, repayments are not reported, interest accrued on the 10% loans, and the review records 4.5% renovation notes owed to the Manager as well. The sale filings do not establish the balances outstanding at each sale or the amounts repaid from the proceeds.

## The pattern in AltStreet's data

The reports state, for each series, lifetime dividends per share, the final distribution per share and the original offering price. Combining historical dividends with the announced final distribution, nominal cash per share relative to the stated offering price ranges from 1.6% (157 Wells Road: $0.14 on $8.86) to 42.0% (8653 Ashley Way: $2.22 on $5.29). The other four: 126 Wildwood Road 20.6% ($1.43 on $6.93), 8668 Ashley Way 21.1% ($1.23 on $5.82), 8652 Ashley Way 31.4% ($1.86 on $5.93) and 8667 Ashley Way 4.4% ($0.24 on $5.47).

These are nominal cash recovery ratios against the stated offering price, not investment returns: they make no allowance for time, and an individual investor's outcome depends on the price paid and the distributions received, which differ for shares bought on the app's secondary market. The final distributions are announced amounts, not reported payments.

## Why it matters

For investors in Landa series still awaiting a sale, the settlement statement attached to each disposition report shows what reached their series at closing. The step from there to the final distribution is the one these reports compress into a single phrase, liabilities and expenses: what they were, to whom they were paid, and how much went to the sponsor or its affiliates. The filings document that the affiliate loans existed; they do not show what was repaid.

## What the filings do not show

The reports and statements do not show what was paid after closing, to whom, or under what terms, the affiliate loan balances at each sale, interest accrued, any manager or renovation-note balance, or reserves held for dissolution costs. They do not report the final distributions as paid. The settlement statements are scanned images; the figures here are read from them and agree with each statement's own totals. AltStreet did not seek comment from Landa for this report on public filings; a response will be added if one is provided.
