# Lord Abbett Private Credit Fund S Reaches $203M Sold as 5% Tender Window Opens

The non-traded BDC added $15.8 million and 70 reported investors since April, then offered to repurchase up to 398,954 shares at its September 30 net asset value.

Published August 5, 2026. Entity: Lord Abbett Private Credit Fund S (CIK 2041841, https://altstreet.investments/edgar/2041841).

Lord Abbett Private Credit Fund S reported $203.03 million in cumulative securities sold and 255 investors in a July 29 Form D/A, extending the capital raise of a non-traded business development company focused primarily on senior secured middle-market loans.

The amendment shows an increase of $15.75 million from the $187.28 million reported April 9. The investor count increased by 70, from 185 to 255, over the same period.

One day later, the fund opened a separate issuer tender offer for up to 398,953.88 common shares, representing approximately 5% of shares outstanding as of May 31. The two filings document continued subscriptions and a scheduled liquidity window, but neither filing establishes that the events were causally related.

## What changed

1. Cumulative Form D sales increased to $203,029,893 from $187,277,953, a gain of $15,751,940, or approximately 8.4%.

2. The reported number of investors increased to 255 from 185, a gain of 70, or approximately 37.8%.

3. The fund opened an offer to repurchase up to 398,953.88 shares at the net asset value calculated as of September 30, 2026. The tender is scheduled to expire at 11:59 p.m. Eastern Time on August 27 unless extended.

## The reported investor base grew faster than cumulative sales

The July 29 Form D/A reports an indefinite Rule 506(b) offering with a first-sale date of October 31, 2024. It lists a minimum investment accepted of $2,500 and reports no non-accredited investors.

Cumulative amount sold increased 8.4% between the April and July amendments, while the investor count increased 37.8%. That combination is consistent with the reported investor base broadening, but it does not establish the average size of new subscriptions.

Form D does not distinguish new investors from additional purchases made by existing investors, identify beneficial owners behind investing entities or show how much of the $15.75 million increase came from each group.

The July amendment lists Rule 506(b) as the federal exemption used. The April amendment also referenced Investment Company Act Sections 3(c) and 3(c)(7). The filings do not explain the change in classification, although both report the same issuer, SEC offering file number and October 31, 2024 first-sale date.

Estimated sales commissions remained reported at $733,089 in both amendments. Form D identifies that amount as an estimate and does not provide a complete all-in distribution-cost schedule.

## The next-day tender provides liquidity for up to 5% of shares

Lord Abbett Private Credit Fund S filed a Schedule TO on July 30 offering to purchase up to 398,953.88 common shares. The fund reported 7,979,077.65 shares outstanding as of May 31, making the initial tender capacity approximately 5% of outstanding shares.

The purchase price will equal the fund's net asset value per share as of September 30, 2026, or a later valuation date if the offer is extended. The May 31 NAV was $24.64 per share, which would value the initial tender capacity at approximately $9.83 million if that NAV remained unchanged. The actual consideration cannot be determined until the September valuation is finalized.

The offer is scheduled to expire August 27. Shareholders may tender all or part of their holdings, but a partial tender generally must leave an account balance of at least $2,500 based on the valuation-date NAV.

If shareholders tender more than the stated capacity, the fund expects to accept shares on a pro rata basis. It also reserves the right to repurchase up to an additional 2% of outstanding shares without amending or extending the offer, as permitted by the tender rules.

The fund does not expect to impose a charge on accepted repurchases. Its shares are not traded on an established market, so periodic issuer tenders provide a controlled liquidity mechanism rather than continuous exchange liquidity.

## The tender is a scheduled liquidity feature, not a disclosed distress event

The tender's timing should not by itself be interpreted as a redemption run or liquidity crisis. Lord Abbett Private Credit Advisor states that it generally expects to recommend that the board offer to repurchase shares four times each year, although the fund is not obligated to conduct an offer.

The current filing does not report the number of shareholders intending to tender, the volume of redemption requests already received or any suspension of ordinary liquidity terms.

The fund says accepted repurchases may be funded with cash on hand, borrowings or proceeds from portfolio sales. The Schedule TO states that no decision had been made to borrow specifically for the offer, but that repayment of any borrowings could be financed with additional contributions from existing or new shareholders.

The offer also warns that satisfying repurchases may require portfolio assets to be sold earlier than the adviser otherwise would have chosen and that a reduction in fund assets could increase the expense burden borne by remaining shareholders.

## The latest available portfolio snapshot showed $194M of NAV

A May 29 Form 8-K reported aggregate net asset value of approximately $194 million as of April 30, with NAV of $24.70 per common share.

At that date, the fund reported loans to 53 portfolio companies, one equity position and one joint-venture investment. Aggregate loan commitments were approximately $497 million, while loan par value was approximately $381 million.

The fund described 95% of the portfolio as senior secured debt and reported that 100% of its debt investments were floating-rate, based on par value.

Those portfolio and NAV figures are separate from the $203.03 million reported as cumulative amount sold on Form D. Amount sold is a subscription measure; it is not current NAV, assets under management, portfolio cost, net capital inflow or capital deployed into loans.

## Why it matters

The paired filings illustrate the central tradeoff in continuously offered, non-traded private-credit vehicles: the fund can continue adding investors and subscriptions while shareholder liquidity remains limited to board-authorized tender windows.

For existing shareholders, the relevant questions are not simply whether a tender exists, but how much capacity is offered, when NAV is measured, whether requests may be prorated and what sources the fund may use to finance accepted repurchases.

For prospective investors, the Form D update confirms continued capital formation but does not establish investment performance. The tender offer confirms a liquidity mechanism but does not guarantee that every future redemption request will be accepted.

The July filings are therefore most useful as a combined fundraising-and-liquidity update rather than as evidence of either accelerating portfolio performance or financial distress.

## How to evaluate the structure

A Form D amendment, tender offer and periodic NAV disclosure answer different diligence questions. Form D shows cumulative exempt-offering sales and reported investor count. The Schedule TO establishes the terms of a particular repurchase window. The fund's periodic reports provide NAV, portfolio composition, leverage and operating results.

Investors should reconcile those sources rather than treating any one filing as a complete picture. ## What the filings do not show

The Form D/A does not identify investors, distinguish individuals from institutions or feeder vehicles, or disclose the amount subscribed by each investor.

It does not report redemptions, net subscriptions, current NAV, portfolio deployment, leverage, credit performance or realized returns.

The filings do not explain why the reported investor count increased more rapidly than cumulative sales or whether existing investors made additional purchases during the period.

The Schedule TO does not disclose how many shares will ultimately be tendered or accepted. Those figures will require a subsequent amendment reporting the tender results.

The approximately $9.83 million reference value is calculated using the May 31 NAV solely to indicate scale. The actual purchase price will be based on September 30 NAV or a later valuation date if the tender is extended.

The one-day proximity of the Form D/A and Schedule TO does not establish that new subscriptions were raised to fund repurchases or that the tender was prompted by the reported capital increase.
