# Masterworks Vault 3 Requests Withdrawal of Three Proposed Art Offerings

A Form 1-A-W filed October 13, 2026 requests withdrawal of the amendment that proposed series for a Pat Steir, a Yayoi Kusama and a Helen Frankenthaler, totaling $2.03 million in offerings.

By Michael E., Head of Research, AltStreet Research (https://altstreet.investments/authors/michael-e). Published October 15, 2026. Masterworks Vault 3, LLC requested on October 13, 2026 that the Securities and Exchange Commission consent to the withdrawal of Post-Qualification Amendment No. 31 to its Regulation A offering statement (Form 1-A-W, accession 0001493152-26-046806). The amendment, filed October 5, 2026 (accession 0001493152-26-045767), proposed three new series, each to hold one artwork.

## What the filings show

The request is made under Rule 259 and covers the amendment and its exhibits, not the offering statement as a whole (file 024-12289). The letter, signed by chief executive Scott W. Lynn, states that the company 'has determined not to proceed with the offerings of Series 553, Series 554 and Series 555 under the Offering Statement.' It states that the amendment had not been declared qualified, that no securities were offered or sold under it, that no subscription funds were received for the three series, and that the company is not the subject of any proceeding under Rule 258.

The amendment the request covers identifies the artworks and the terms on which Masterworks, acting as agent for the company, had agreed to acquire them. Each offering was priced at $20 a share with no underwriting discount and was set about 11% above the agreed acquisition cost.

| Series | Artwork | Agreed acquisition | Proposed offering |
| --- | --- | --- | --- |
| 553 | Pat Steir, White and White (2018), 60 x 60 in. | $190,000 from a private gallery, September 28, 2026 | $211,000 (10,550 shares) |
| 554 | Yayoi Kusama, Nets 19 (1998), 20.88 x 25.62 in. | HKD 2,560,000 (about $335,096.84 with shipping) at Sotheby's Hong Kong, September 29, 2026 | $372,000 (18,600 shares) |
| 555 | Helen Frankenthaler, Mantle (1979), 49.5 x 78 in. | $1,300,000 from a private gallery, September 25, 2026 | $1,443,000 (72,150 shares) |

Post-Qualification Amendment No. 31, filed October 5, 2026. The withdrawal request does not say whether the acquisitions were completed.

## Background

Vault 3 adds artworks to a single Regulation A offering statement through post-qualification amendments, each proposing new series. Its EDGAR record shows 31 such amendments since its first Form 1-A in June 2023, and this is the first withdrawal request in that record. The count describes the filing history; it does not by itself say anything about demand for the series or the company's finances.

## What the filings do not show

The withdrawal request gives no reason beyond the decision not to proceed. Neither filing says whether Masterworks completed the three acquisitions, or whether the works will be offered later through another amendment or another Masterworks vehicle. Series already qualified under the offering statement are not covered by the request.
