# Sixth Street TAO Vehicles Report $3.17 Billion Sold, Led by $2.925 Billion in Partners (G)

Two lettered vehicles in Sixth Street's TAO series, noticed at the end of March with nothing sold, filed first amendments on October 21, 2026 reporting $2.925 billion and $249.8 million of securities sold, 14 investors each, with first sales dated April 1. The (G) figure is the largest among the TAO Partners filings AltStreet reviewed.

By Michael E., Head of Research, AltStreet Research (https://altstreet.investments/authors/michael-e). Published October 23, 2026. Entity: Sixth Street TAO Partners (G), L.P. (CIK 2126095, https://altstreet.investments/edgar/2126095).

Sixth Street TAO Partners (G), L.P. reported $2,925,000,000 of securities sold to 14 investors in a Form D amendment filed with the SEC on October 21, 2026, its first amendment since a March 31 notice that reported no sales. A sibling vehicle, Sixth Street TAO Partners (H), L.P., filed its own first amendment the same day reporting $249,800,000 sold, also to 14 investors. Both amendments date their first sale to April 1, 2026. Together the two filings put $3.17 billion on the record for the newest lettered vehicles in Sixth Street's TAO series.

## What the two amendments show

The (G) amendment (accession 0002126095-26-000003) names the March 31, 2026 original as its prior filing. That original, like the April 1 original for (H), reported an indefinite offering amount, no securities sold and a first sale yet to occur. The October 21 amendments report $2,925,000,000 and $249,800,000 sold respectively, 14 investors each, with the offering amount and the amount remaining still indefinite, and both give April 1, 2026 as the date of first sale, so the sales were made in the six and a half months between that date and the amendments. Both claim the Rule 506(b) exemption and the Section 3(c)(7) exclusion from the Investment Company Act, the combination used for private funds sold to qualified purchasers without general solicitation. Neither reports a minimum investment, sales compensation or proceeds paid to related persons.

Each vehicle's general partner is Sixth Street TAO GenPar, L.P., listed as the promoter, and the related persons are officers of that general partner, among them Alan Waxman, David Stiepleman, R. Martin Chavez, A. Michael Muscolino and Clint Kollar. Joshua Peck, Vice President of the general partner, signed both amendments. The issuer address for both is 2100 McKinney Avenue, Dallas.

## The TAO series

Sixth Street's 2021 Form 40-APP/A, an application for co-investment relief, lists the TAO Partners vehicles from the unlettered fund through (F) among the 'TAO Funds' and describes them as 'a series of private investment vehicles formed primarily to generate attractive returns through the purchase or origination of opportunistic special situations and middle market direct lending investments across the credit cycle'. The application says the TAO Funds raise capital through private placements, have mainly qualified purchasers as investors, rely on Section 3(c)(1) or 3(c)(7), and may co-invest with other Sixth Street vehicles. That description is five years old and covers the vehicles then on record; the (G) and (H) filings do not state their own mandates, and nothing reviewed establishes whether they follow the same strategy.

The lettered vehicles have reported their sales on EDGAR over eight years. (C) first noticed its offering on December 29, 2017 and (B), (D) and (E) in March 2018; (B) and (C) are still being amended, most recently on June 25, 2025, while (D) and (E) were last amended in March 2019. (G) and (H) were noticed within a day of each other at the end of March 2026, both date their first sale to April 1, and both were amended on October 21. The (G) figure is the largest among the TAO Partners filings AltStreet reviewed, which do not include a complete census of the series: the unlettered fund, (A) and (F) show no sales on the Form D records read.

## The pattern in AltStreet's data

The six latest filings report approximately $8.7 billion in aggregate securities sold across reporting dates from 2019 to 2026. The filings do not establish whether the amounts overlap through related fund structures, and the total is not a measure of the series' current size.

## Why it matters

A $2.925 billion first amendment is a substantial newly reported offering-sales total. Divided by the 14 reported investors it is an arithmetic average of about $209 million per investor, but the 14 may include pooled entities and allocations may vary widely, so the average does not describe a typical check. What the filing does not settle is what the number measures: Form D reports securities sold, and for a private fund that figure may reflect capital commitments accepted rather than capital funded. The amendment does not say which, nor whether the $2.925 billion came in one closing or several between April 1 and October 21. The indefinite offering size means further amendments may add to it.

## What the filings do not show

The filings do not identify the investors or state the vehicles' strategy, fees or terms. They do not say whether (G) and (H) invest side by side, differ by investor type or currency, or share any investor, and nothing in the filings links the two beyond the common general partner, address, signer, first-sale date and filing dates. Sixth Street's assets under management are not stated in these filings and are not reported here.

## Key facts

- Sixth Street TAO Partners (G), L.P. (CIK 2126095) filed a Form D/A on October 21, 2026 (accession 0002126095-26-000003) reporting $2,925,000,000 of securities sold to 14 investors on an offering of indefinite size, under Rule 506(b) and Sections 3(c) and 3(c)(7) of the Investment Company Act. The amendment names its March 31, 2026 original (0002126095-26-000001), which reported no sales and a first sale yet to occur.
- Sixth Street TAO Partners (H), L.P. (CIK 2126090) filed a Form D/A the same day (0002126090-26-000003) reporting $249,800,000 sold to 14 investors, also indefinite, 506(b) and 3(c)(7); its original notice was filed April 1, 2026 with no sales.
- Both amendments give April 1, 2026 as the date of first sale: the day after (G)'s original notice and the day of (H)'s. Neither states a minimum investment (reported as $0), sales compensation, or any use of proceeds to related persons.
- Each vehicle's general partner is Sixth Street TAO GenPar, L.P., listed as promoter; the related persons are officers of the general partner including Alan Waxman, David Stiepleman, R. Martin Chavez, A. Michael Muscolino and Clint Kollar. Joshua Peck, Vice President of the general partner, signed both filings. The issuer address is 2100 McKinney Avenue, Dallas.
- Earlier lettered TAO Partners vehicles on EDGAR report, on their latest Form D amendments: (B) $1,924,745,000 from 28 investors and (C) $1,618,543,244 from 26 investors, both amended June 25, 2025; (D) $1,094,553,617 from 22 investors and (E) $926,926,383 from 16 investors, both last amended March 22, 2019.
- Sixth Street's 2021 Form 40-APP/A described the TAO Funds then on record (the unlettered fund through (F)) as 'a series of private investment vehicles formed primarily to generate attractive returns through the purchase or origination of opportunistic special situations and middle market direct lending investments across the credit cycle', sold privately mainly to qualified purchasers under Section 3(c)(1) or 3(c)(7). It predates (G) and (H) and does not state their mandates.
- Form D reports securities sold, not fund size or funded capital. For a private fund the figure may reflect capital commitments accepted; the filings do not say, and do not say whether the amounts came from one closing or several between April 1 and October 21.
