# Commonwealth Review 2026: $50 Racehorse Shares Through Its Own Funding Portal, With Layered Costs and Reporting Gaps

Commonwealth sells $50 shares in racehorses, and lately in golfers and a tennis player, through its own SEC-registered funding portal, ALAO Invest. Its Reg A series included the 2023 Kentucky Derby winner Mage and Dubai World Cup winner Country Grammer, whose series paid $1.15 million in one year on a $113,850 raise; the five liquidated series identified in its filings returned $130,082 on $441,800, about 29%. Since 2024 each horse is a separate Reg CF offering managed by the horse's seller. The horse purchase is 9% to 71% of each $50 share, with the rest in operating reserves, expenses and the portal's fee, which reached 18% of acquisition and working-capital proceeds in selected recent offerings. The Reg A issuer's latest annual report located was filed in October 2023.

## The short version

Commonwealth lets anyone buy $50 shares in a racehorse. Its Reg A period (2019 to 2023) produced the platform's two famous results: its Country Grammer series paid $1,149,663 to holders in the year to June 2023 on a $113,850 raise after the horse won the 2022 Dubai World Cup, and its Mage series bought 25% of the colt that won the 2023 Kentucky Derby. The five liquidated series identified in its filings raised $441,800 and distributed $130,082, about 29%. Since 2024 Commonwealth runs a different model. Its holding company owns ALAO Invest, an SEC-registered funding portal, and each horse is a separate Reg CF offering by a new LLC whose manager is the horse's seller or co-owner. The share-price breakdowns in Commonwealth's own API show that 9% to 71% of each $50 share buys the horse; the rest funds training and operating reserves (including insurance), offering and acquisition expenses, and the portal's fee. The Form Cs set that fee as a percentage of the proceeds allocated to the horse and working capital: 10% in offerings from 2024 to mid-2025, 15% in two July 2025 offerings, 18% in two later ones, and 10% again in two offerings from December 2025 and February 2026, plus 2% of the units sold in every case. After the offering, a Commonwealth affiliate charges each LLC a monthly administration fee and 10% of every distribution. The reporting has gaps. For Commonwealth Thoroughbreds, the latest annual report located was filed in October 2023; later filings included a March 2024 semiannual report and an October 2024 late-report notice promising the 2024 report by December 31, 2024. Several Reg CF progress and annual reports were filed months late or not located. Separately, the Reg CF annual reports carry financial statements marked unaudited and not reviewed, which Regulation Crowdfunding permits for annual reports; that is limited assurance, not a filing failure.

- **$1.15M** Distributions by Series Country Grammer in the year to June 30, 2023, on a $113,850 raise, after the horse won the 2022 Dubai World Cup. The platform's best documented outcome.
- **29%** What the five liquidated Reg A series identified in the filings returned: $130,082 distributed on $441,800 raised (Steinbeck, Pine Valley, Swing Shift, I Got a Gal, Tshiebwe), per the FY2023 Form 1-K's table of amounts distributed to each liquidated series.
- **9% to 71%** Share of each $50 Reg CF share spent on the horse purchase, from the per-share breakdowns in Commonwealth's API; five of 21 horse offerings put 30% or less into the purchase. Training and operating reserves, which are part of owning a horse, take much of the rest.
- **Up to 18%** The portal's cash fee as a share of proceeds allocated to the horse and working capital (not of the whole subscription): 10% in 2024 and early 2025 offerings, 15% for The Town and Shine Softly (July 2025), 18% for Schoolyardsuperman (November 2025) and the open Imply offering, and 10% for Italian Soiree and Shippy; plus 2% of units in every offering.
- **Oct 2023** Filing date of Commonwealth Thoroughbreds' latest Form 1-K located. Later filings included a March 2024 Form 1-SA and an October 2024 Form 1-U saying the 2024 report would follow by December 31, 2024; AltStreet located no later 1-K, 1-SA or 1-Z.
- **$4.54M** Raised by the 15 Reg CF offerings whose final progress reports AltStreet located on EDGAR; Commonwealth's API puts the 21 Reg CF horse offerings, including the open one, at about $6.1 million.

Data note: Offering figures are from Commonwealth's API (read October 17, 2026) and the issuers' Form C and C-U filings; Reg A results from Commonwealth Thoroughbreds' Form 1-K for the year ended June 30, 2023 (audited by Dean Dorton Allen Ford) and Form 1-U of October 24, 2024; portal ownership from ALAO Invest's Form CFPORTAL of May 8, 2024 and amendment of January 22, 2026.

## Verdict

Commonwealth offers SEC-registered $50 shares in racehorses through its own funding portal, and its Reg A series produced two famous wins. Each share is a speculative security with an entertainment component: the horse purchase is 9% to 71% of the price, the portal fee reached 18% of acquisition and working-capital proceeds in selected recent offerings, an affiliate takes a monthly fee and 10% of distributions, and the seller sets the price and controls the LLC. The five liquidated Reg A series returned about 29% of their proceeds, and reporting has gaps. Buy only what you can afford to lose, for the experience as much as any return.

**Best for**

- Racing fans who want to follow a horse and accept losing the stake.

**Look elsewhere if**

- You need a predictable financial return.
- You need audited, timely reporting.
- You may need the money back.

**Strengths**

- SEC-registered funding portal and a Form C for every offering.
- Per-share use-of-proceeds published for each listing.
- Horses with top trainers and stables; two famous winners (Country Grammer, Mage).
- Seller keeps a stake in each horse.

**Limitations**

- 9% to 71% of each share buys the horse; portal fee up to 18% of acquisition and working-capital proceeds in selected offerings, plus 2% of units.
- Five liquidated Reg A series returned about 29% of their proceeds.
- Reg A issuer's latest annual report located is from October 2023; Reg CF reports late or missing; annual financials unreviewed.
- Seller-set prices and manager control; no secondary market.

| Anyone who relies on filed reports | poor-fit | |

## Questions

**Is Commonwealth legit?**

Yes, in the regulatory sense: its offerings run through ALAO Invest, an SEC-registered funding portal Commonwealth's holding company owns, and every Reg CF horse has a Form C on EDGAR. AltStreet found no enforcement action or lawsuit. But its Reg A issuer's latest annual report located was filed in October 2023, several Reg CF reports are late or missing, and the five liquidated series identified in its filings returned about 29% of what investors paid.

**Did Commonwealth investors make money on Mage?**

Series Mage bought 25% of the colt in August 2022, raising about $169,000, and he won the 2023 Kentucky Derby. Its share of Mage's breeding rights was set at 10 of 40 fractional interests valued at $225,000 to $300,000 each. What holders have received since June 2023 is not in any filing AltStreet located: the latest annual report located was filed in October 2023, followed by a March 2024 semiannual report and an October 2024 late-report notice.

**What are Commonwealth's fees?**

The portal takes 10% to 18% of the proceeds used to buy the horse and fund working capital, depending on the offering, plus 2% of the units. After closing, CMNWLTH LLC charges each LLC a monthly administration fee and 10% of distributions. The horse purchase is 9% to 71% of each $50 share; the rest is training and operating reserves, offering and acquisition expenses, and the portal fee.

**Can I sell my Commonwealth shares?**

No secondary market exists. Money comes back when the horse is sold, claimed or retired, or through distributions of race earnings or breeding income.

**Who owns Commonwealth?**

Commonwealth Markets Inc., whose shareholders include co-founder Chase Chamberlin, WinStar Ventures LP, Eberg Capital, IA Sports Ventures and Social Leverage Capital Fund IV, owns ALAO Invest. Co-founder Brian Doxtator left in October 2025.
