# GigaStar Review 2026: What You Get When You Buy a Share of a YouTube Channel

GigaStar sells retail investors a fixed share of one YouTube channel's monthly ad revenue, packaged as Revenue Sharing Units in a Wyoming LLC formed for that creator, for $15 to $146 a unit. Forty-six offerings have filed since April 2023, the annual reports show $1.19 million of channel revenue reaching those LLCs through 2025, and more than half of it came from one creator. The filings state a fee stack the marketing never does: 10% of every raise to the portal and 8% of every distribution to an affiliate, and the parent's auditor has raised substantial doubt about its ability to continue as a going concern.

AltStreet score: 48.6 (C+), scored September 22, 2026. Method: https://altstreet.investments/platforms

## The short version

GigaStar is the most developed creator-revenue platform AltStreet has reviewed and the disclosure in its filings is good: each Form C states the exact percentage of Net YouTube Revenue an RSU carries, illustrates the return at trailing revenue, and writes out the affiliate conflict in its own words. The product pays. Channel revenue reaching the issuer LLCs totaled $1.19 million across FY2023 to FY2025 by their own annual reports, which reconciles to the company's '$1.17 million distributed' claim once the 8% service fee is deducted, and monthly USDC distributions have run for three years. Four things the marketing does not say decide whether it is worth buying. The fee stack: 10% of every raise goes to the portal, 8% of every distribution to GigaStar Technologies, 2.5% to each side of every secondary trade, and $5 plus payment-rail charges on every purchase. The concentration: three ClearValue Tax vehicles produced 53.6% of all FY2025 revenue, 11 of 31 reporting issuers earned under $2,000, and every Revenue Sharing Agreement lets the units 'cease to exist' if aggregate distributions fall under $100 a month for six months, a line that four full-year issuers' FY2025 revenue, spread evenly across the year, would already fall below. The record: not one of 37 completed offerings has filed the Form C-U that Rule 203(a)(3) requires, so the amount raised on any of them is whatever GigaStar says it is. And the parent: Creator Networks, Inc. lost $3.17 million on $548,790 of revenue in 2025, carries an $8.7 million accumulated deficit, and its sole-practitioner auditor's opinion includes a going-concern paragraph while it raises again from retail at a $58 million valuation.

- **10% + 8%** The two fees that matter and that the marketing site omits. The Form C cover states that 'the Portal will receive a fee equal to ten percent (10%) of the amount raised in the offering'; the distribution arithmetic in every Form C deducts 'the 8% service fee' from each unit's share before it reaches the investor, paid to GigaStar Technologies LLC. gigastarmarket.io tells creators they receive their payout 'minus GigaStar fees' and tells investors nothing.
- **53.6%** The share of all FY2025 revenue reaching the issuer LLCs that came from ClearValue Tax's three vehicles ($366,624 of $683,510), per the Form C-AR annual reports. The top five vehicles produced 75%. Eleven of the 31 issuers that reported earned less than $2,000 for the year.
- **0 of 37** Completed offerings with a Form C-U on file. Rule 227.203(a)(3) requires a progress update reporting the total sold within five business days after the deadline, even when the portal shows live progress. Across three and a half years none has been filed, so the only per-offering raise figures are GigaStar's own statements, such as ClearValue Tax's '$1.87M across 3 fully sold-out drops'.
- **113%** The FY2025 net yield on GigaStar's first offering. ClearValue Tax Channel Drop LLC sold 10% of the channel's Net YouTube Revenue as 4,000 units at $15, a $60,000 maximum that the company says sold out; the LLC then reported $78,410 of revenue in 2024 and $73,619 in 2025, or $67,730 net of the 8% fee on $60,000 invested. The Form C itself illustrated a 92% ROI. The platform's first drop was priced at about one year of the revenue it sold, and it accounts for a large part of the distribution record.
- **$3,167,391** Creator Networks, Inc.'s FY2025 net loss, on $548,790 of net sales, $2,707,691 of cash and 15 employees. Terrence R. Gray, CPA's April 24, 2026 opinion is unmodified and carries a Substantial Doubt About the Company's Ability to Continue as a Going Concern paragraph. The company is selling preferred stock to retail on Wefunder at $3.515 a share, a $58 million pre-money valuation, with a new Form C filed August 11, 2026 and amended September 21.

Data note: Issuer revenue is the 'revenue' field each Channel Drop LLC reports on its Form C-AR, which under the Revenue Sharing Agreement is the Net YouTube Revenue share the paying agent received for that offering; investors receive it less the 8% service fee. Amounts raised are company statements unless a filing states them; the Double Toasted 2nd Form C is the one filing that discloses a prior raise ($71,082). Yields are computed only where the raise is filed (five prior-drop disclosures) or company-stated as sold out at the maximum (two). Company-reported figures ($6.6M to $7M raised, 28,800 to 30,000+ accounts, $1.2M to $1.5M+ distributed) are labeled as such.

## Key figures

| Figure | What it is | Context |
| --- | --- | --- |
| 10% + 8% | Portal fee on every raise and service fee on every distribution, per the Form C. | Neither figure appears on gigastarmarket.io, which tells creators only that proceeds arrive 'minus GigaStar fees'. |
| $1,194,049 | Channel revenue reaching the issuer LLCs, FY2023 to FY2025, per 58 Form C-AR annual reports. | $1,098,525 after the 8% fee, against the company's '$1.17M distributed' as of March 2026. The numbers reconcile. |
| 53.6% | Share of FY2025 issuer revenue from ClearValue Tax's three vehicles. | Top five vehicles 75%; median reporting issuer $3,948; 11 of 31 under $2,000. |
| 0 of 37 | Completed offerings with a Form C-U on file. | Rule 227.203(a)(3) requires one within five business days of the deadline. Every raise figure is a company statement. |
| 113% | FY2025 net yield on the first offering, ClearValue Tax at $60,000 for 10% of the channel. | The 2024 Form C for the same channel's third drop illustrated 10.20%; Tony Gaskins yielded 7.8%. |
| $3,167,391 | Creator Networks, Inc. FY2025 net loss on $548,790 of revenue. | Unmodified opinion with a going-concern paragraph; $2.7M cash; raising on Wefunder at a $58M valuation. |

## Verdict

GigaStar has built something that works mechanically: a registered portal, a registered venue, a paying agent, three years of monthly payments that match the filings, and Form Cs that tell you exactly what a unit is. What it has not built is a book that justifies the aggregate numbers it advertises, or a fee disclosure that survives contact with its own marketing. If considering GigaStar, evaluate the specific channel from its Form C rather than the platform totals, size the position as you would a fan subscription, subtract 8% from the illustrated return, and accept that the only exit is an affiliated market that has been trading since late July 2026.

**Best for**

- Fans of a specific creator who want a small, visible monthly stake and will read that offering's Form C.
- Income investors willing to spread a small allocation across several channels chosen on trailing revenue and offering percentage, as one slice of a portfolio.

**Look elsewhere if**

- You need the amount raised, the distribution history or the trading volume on the record rather than on the company's word.
- You will not run a Polygon wallet or track USDC receipts.
- You want category exposure rather than one channel.
- You are relying on the site's revenue-share range or the press release's 'monthly' figure rather than the Form C and the annual reports.

**Strengths**

- Form Cs that state the exact per-unit percentage, the portal fee and the service fee, illustrate the return at trailing revenue and write out the affiliate conflict.
- A three-year distribution record that reconciles to the annual reports: $1,194,049 of issuer revenue FY2023 to FY2025.
- A real SEC-registered digital asset securities ATS, with a PCAOB-audited broker-dealer above its minimum net capital.
- Monthly channel revenue visible to holders on the Portfolio app and reported annually on EDGAR.
- No enforcement action, disclosure event or suit located against any entity or principal.

**Limitations**

- 10% of every raise and 8% of every distribution to affiliates, unstated on the marketing site.
- More than half of last year's distributions came from one creator; a third of reporting issuers earned under $2,000.
- No Form C-U on any of 37 completed offerings; the raise figures are GigaStar's.
- An extinction clause that can zero small offerings, with four full-year issuers averaging below its threshold in FY2025.
- A parent with a $3.17 million loss, a going-concern paragraph and a $58 million retail valuation.
- A Form CRS that names the wrong affiliate as the funding portal and withdrew fees it had disclosed two months earlier.
- An affiliate of GigaStar buying 8,500 units of the live Craftee offering at a 20% discount to the retail price, a commitment that appears to account for almost all of the amount the site shows as raised.

## Who it fits

| Investor | Fit | Why |
| --- | --- | --- |
| Fans of a specific creator buying a small stake for the involvement | well-suited | |
| Income investors looking for yield | neutral | |
| Investors seeking exposure to the creator economy as a category | poor-fit | |
| Anyone who may need the money back | poor-fit | |
| Investors who will not run a crypto wallet | poor-fit | |

## Questions

**What do you actually own when you invest on GigaStar?**

A Revenue Sharing Unit issued by a Wyoming LLC formed for that creator's offering, represented by a Channel Revenue Token in your wallet. Each unit entitles you to a fixed percentage of the channel's Net YouTube Revenue, meaning AdSense and other in-platform revenue less any multi-channel-network fee, paid monthly in USDC after an 8% service fee, for the life of the channel or a three- or five-year term if the creator chose one. You do not own any part of the channel, the content or the creator's brand deals, and the creator keeps full discretion over the channel.

**What are GigaStar's fees?**

Four, all stated in the filings and none on the marketing site. The portal takes 10% of the amount raised at closing, out of the creator's proceeds. GigaStar Technologies takes 8% of every distribution before it is paid to you. GigaStar Securities charges 2.5% to the buyer and 2.5% to the seller on every trade on GigaStar Trading, and pays the parent $1.00 per trade. At purchase you pay a $5 application fee plus 4.9% by card, $3 by ACH or 2% by USDC, non-refundable. Off-chain payment of distributions and third-party custody or settlement cost extra.

**How are Channel Revenue Tokens priced?**

By a formula the Form C states and no one independently checks: 'a multiple of approximately X times the annualized Net YouTube Revenue of the Channel' over the trailing twelve months, with the Form C adding that 'no third-party valuation was obtained'. The first drop in April 2023 used a multiple of 1 of the last three months annualized, which is why it yields over 100% a year; the 2024 to 2026 offerings run about 4x to 9x (Craftee 5.00x, Double Toasted 2nd 6.30x, Mr. Hand Pay 2nd 9.00x). Divide 0.92 by the multiple for the illustrated first-year return after the 8% fee: across all 46 offerings it runs from 7.1% to 23.1% with a median of 13.0%, before any change in the channel's revenue.

**How much do GigaStar investors actually earn?**

It depends entirely on the channel and the price. The recent Form Cs illustrate 10% to 15% a year at trailing revenue after the fee (10.20% on ClearValue Tax 3rd, 14.58% on Double Toasted 2nd). Where AltStreet could compute realized figures from filed or company-stated raises, FY2025 net yields were 18.8% on ClearValue Tax 2nd, 12.4% on ClearValue Tax 3rd, 11.1% on Double Toasted 1st, 7.8% on Tony Gaskins, and 113% on the platform's first $60,000 offering, which was priced at about a year of its revenue. The median issuer received $3,948 for the year and eleven of thirty-one received under $2,000, so the aggregate figures overstate what a typical unit pays.

**Is GigaStar legit, or is it a scam?**

It is a registered, functioning platform. GigaStar Portal LLC is a FINRA-member funding portal on FINRA's list under SEC file 7-376; GigaStar Securities LLC is a FINRA and SIPC member broker-dealer (CRD 328312) with an SEC-registered ATS, zero BrokerCheck disclosures and a PCAOB-registered auditor; every offering files Form C and annual reports on EDGAR; and three years of monthly distributions reconcile to those annual reports. AltStreet's legal and enforcement scan found nothing against any entity or principal. The concerns in this review are about fees, concentration, missing progress filings and the parent's finances, not legitimacy.

**How much has GigaStar raised for creators?**

GigaStar says $6.6 million to $7 million across 37 offerings, and $4.7 million across 27 as of April 2025. None of it is on EDGAR: no offering has filed the Form C-U progress update that Regulation CF requires within five business days of the deadline, so the per-offering figures exist only as company statements, such as ClearValue Tax's $1.87 million across three sold-out drops and Tony Gaskins's $500,000. The five filed figures, each disclosed in a later drop's Form C for the creator's earlier one, are ClearValue Tax 1st $60,000, 19XX 1st $20,000, Tony Gaskins 1st $488,300, Word On The Street 1st $20,944 and Double Toasted 1st $71,082 of a $264,000 maximum. Whatever the total, creators receive 90% of it after the portal fee.

**Can I sell my Channel Revenue Tokens?**

After the one-year Reg CF holding period, if the issuer converts them to digital securities and lists them on GigaStar Trading, the affiliated SEC-registered ATS. Trading began in late July 2026 for the first converted offering; the company reported 1,000+ trading accounts and $100,000 or more of cumulative volume in September 2026. Each trade costs 2.5% from the buyer and 2.5% from the seller. There is no redemption right, no other venue is planned, and the Form C says no liquid market may develop.

**What is the $100 a month clause?**

Every Revenue Sharing Agreement AltStreet read, from 2023 to 2026, provides that no distribution is paid in any month your share is under $0.50 and the shortfall does not carry over, and that the units 'will cease to exist' if aggregate distributions on the whole offering are under $100 a month for six consecutive months, after which the tokens have no function. At FY2025 revenue, four issuers with a full year of operation reported less than the roughly $1,304 a year that, spread evenly, keeps an offering above that floor; an annual figure cannot show six consecutive months, and the filings do not say whether the clause has been invoked on any offering.

**What happens if the creator stops making videos or gets demonetized?**

Your distributions fall or stop. The unit is a share of the channel's YouTube revenue and nothing else; there is no minimum payment, no obligation on the creator to keep uploading, and no claim on any other asset. The Form C gives the creator 'broad discretion' over the channel, including whether to join a multi-channel network whose fee would come off the top. If revenue falls far enough for long enough, the $100-a-month clause ends the units.

**Are Channel Revenue Tokens cryptocurrency?**

No, and GigaStar goes to some length to say so; the tokens represent Reg CF securities, and after conversion are digital securities that trade only on the registered ATS. The payment rail is crypto, though: distributions arrive as USDC on the Polygon network to a wallet you link to the smart contract, holders without a wallet have their money held in the contract until they link one, and buying with USDC requires a small amount of POL for network fees.

**How is GigaStar income taxed?**

GigaStar's guidance is that distributions are ordinary income reported on a Form 1099, not a K-1, because, as it characterizes the structure for tax reporting, the issuer is a disregarded LLC and the unit is a revenue-sharing contract rather than a partnership interest. Because payments arrive as USDC, each receipt also creates a stablecoin position with its own basis, and selling USDC or trading tokens on the ATS is a separate taxable event. The Form C makes no tax representations beyond directing you to your own adviser and noting possible withholding for non-U.S. holders.

**Who is behind GigaStar and are they profitable?**

Creator Networks, Inc., a Delaware corporation formed in February 2022 and based in Chicago, founded and run by Hazem Dawani, with Mohammed Asfour as chief operating officer and David Hunt running the broker-dealer. It is not profitable: FY2025 net sales were $548,790 against $3,606,889 of operating expenses, a $3,167,391 net loss and an $8,700,357 accumulated deficit, with $2,707,691 of cash at year end. Its auditor's opinion includes a going-concern paragraph. The company has raised about $7.75 million in Reg D rounds since 2022 and $3.9 million from retail on Wefunder in 2025, and filed to raise up to $1.2 million more in August 2026 at a $58 million valuation.

**What should I read before investing in a GigaStar offering?**

The offering's Form C, which is linked from the deal page and filed on EDGAR. Find the percentage of Net YouTube Revenue per unit and the illustrated first-year ROI, and note whether the illustration is before or after the 8% service fee. Find the channel's trailing-twelve-month revenue and compare it with its public view counts. Read the Revenue Sharing Agreement's floors ($0.50 per investor per month, $100 aggregate per month for six months) and whether the offering is lifetime or term-limited. Then read the creator's previous drop's Form C-AR on EDGAR if there is one, which shows what that LLC actually received last year.

## Evidence appendix

Platform website captured September 22, 2026.

Issuers are identified from AltStreet's EDGAR ledger as Form C filers naming GigaStar Portal LLC as intermediary or carrying the 'Channel Drop LLC' name, 46 in total, and matched by name to the 39 offerings in the public WealthBlock feed behind invest.gigastarmarket.io. Revenue per issuer is the revenue field of each Form C-AR, which is the Net YouTube Revenue share the paying agent received for that offering; investors receive it less the 8% service fee. Sums by fiscal year count each issuer's most recent report for that year. Yields are computed only for the five raises disclosed in a later Form C (ClearValue Tax 1st $60,000, Tony Gaskins 1st $488,300, 19XX 1st $20,000, Word On The Street 1st $20,944, Double Toasted 1st $71,082) and the two the company states sold out at the maximum (ClearValue Tax 2nd $720,000 and 3rd $1,088,000), and are the LLC's revenue times 0.92 divided by the raise. Channel financials (trailing-twelve-month YouTube revenue, subscribers, the creator's year-one estimate, videos posted) are read from each circular's period table; implied channel revenue for a later year is the LLC's annual-report revenue divided by the share actually sold, which is possible only where that share is known. Fees, the extinction clause and the affiliate-ATS disclosure are quoted from the four Form Cs read in full; the pricing multiple, illustrated first-year return, revenue share and intermediary-interest line are extracted from all 46 circulars. Parent financials are read from the audited statements filed as page images with the FY2025 Form C-AR and cross-checked against the XML cover data. The extinction-threshold test uses $100 a month divided by 0.92, or about $1,304 of annual LLC revenue, applied to issuers with a full year of operation.

**Highlights**

- Form C cover, every offering read: 'At the conclusion of the offering, the Portal will receive a fee equal to ten percent (10%) of the amount raised in the offering.'
- Form C distribution calculation (ClearValue Tax 3rd): 'each RSU is entitled to 0.0025% of the NYR (20% divided by 8,000), less the 8% service fee... Each RSU would be entitled to receive $15.08, before deduction of the 8% service fee. After deducting the fee, each RSU would be entitled to $13.87 in Distributions for the year, representing an ROI of 10.20%.'
- Form C administration section: the paying agent distributes 'to the CRT holders through the blockchain, to GigaStar Technologies LLC for its fees, and to the Creator'.
- Net YouTube Revenue: 'the gross amount of Channel's YouTube Revenue less the MCN Fee'; 'If an MCN is used, it is expected the MCN fee would be 10% of the Channel's YouTube Revenue.'
- All 46 circulars: the 8% service fee, the 10% portal fee and the $100-for-six-months extinction clause appear in every one; the per-investor monthly floor is $0.50 in 43 and $0.20 in three 2023 offerings; no circular carries a three- or five-year term; only Craftee discloses an affiliate purchase.
- Extinction clause, 2023 through 2026 templates: 'no Distribution will be made for any month in which the Distribution is less than $0.50 (and such amount will not carry over to the next Distribution). Additionally, no Distributions will be made on the RSUs, and the RSUs will cease to exist, if the aggregate Distribution amount for all the RSUs sold in this Offering is less than $100 per month for six consecutive months.'
- Craftee Form C cover, August 19, 2026: 'An affiliate of the Intermediary has agreed to purchase 8,500 additional Revenue Sharing Units... at a price per RSU equal to 80% the Offering price (a 20% discount). The Additional RSUs will be offered and sold in a transaction exempt from registration under the Securities Act pursuant to Regulation D, Rule 506(b).' Maximum Offering Amount $1,679,000; illustrated ROI 18.32%; offering price 'a multiple of approximately 5.00 times the annualized Net YouTube Revenue of the Channel'.
- Double Toasted 2nd Form C: 'GigaStar Securities LLC earns a 5% commission on each trade executed on the DATS (2.5% from the buyer and 2.5% from the seller). In addition, GigaStar Securities LLC pays Creator Networks, Inc. $1.00 per trade pursuant to an expense-sharing agreement... No independent third party has reviewed these affiliate relationships for fairness to investors.'
- Double Toasted 2nd Form C: the prior offering 'sold... an aggregate of $71,082 of RSUs in that offering representing 5.4% of the Channel's Net YouTube Revenue'; that offering's Form C carried a $66,000 minimum and $264,000 maximum and the WealthBlock feed tags it Funded. The same disclosure in four other second-drop Form Cs: ClearValue Tax 1st sold $60,000 (10%), Tony Gaskins 1st $488,300 (19.53%), 19XX 1st $20,000 (20%), Word On The Street 1st $20,944 (19.04%).
- Period table in each circular (channel trailing-twelve-month YouTube revenue, subscribers, creator's estimate for the first year after closing): 42 of 46 state trailing revenue, from $19,199 (Rickey) to $1,530,000 (Mr. Hand Pay 2nd), median $115,600; 11 of the 42 were below the $30,000 annual YouTube revenue that GigaStar's listing criteria require. 35 state a year-one estimate against trailing revenue: every 2026 circular and most 2025 ones set it at exactly 10% above trailing; 2024 circulars range from flat to +62% (Hubert Lee).
- Estimate against outcome, where the share sold is filed: implied FY2025 channel revenue (LLC annual-report revenue divided by the share sold) beat the creator's year-one estimate on ClearValue Tax 3rd (+21%) and fell short on Tony Gaskins 1st (-23%), Double Toasted 1st (-15%), 19XX 1st (-9%) and Word On The Street 1st (-43%); ClearValue Tax's channel ran 27% above its 2023 trailing revenue in FY2025.
- Double Toasted 2nd Form C: CRTs from the prior offering 'became eligible for trading on the DATS on July 4, 2025, and active trading commenced in late July 2026'.
- Pricing formula, every Form C: 'The Offering price of the RSUs was determined using a formula based on a multiple of approximately X times the annualized Net YouTube Revenue of the Channel... No third-party valuation was obtained.' Stated multiples read from the circulars: 1 (ClearValue Tax 1st, April 2023, on the last three months), 4.00 to 9.04 on the 2024 to 2026 offerings; implied multiples from the illustrated returns across all 46 run 1.0x to 13.0x, median 7.0x.
