The Seattle venture firm's Origin fund reported $42,280,000 sold to 29 investors on an October 20 Form D/A and lowered its offering amount to the same figure, from the $100 million on its December 2024 notice. It had reported $19.53 million from 11 investors ten months earlier.

Acequia Capital Origin LP filed a Form D/A on October 20, 2026 reporting $42,280,000 sold to 29 investors and lowering its total offering amount to the same $42,280,000, from the $100,000,000 on its original notice of December 2024. Nothing remains to be sold on the amended notice. The filing gives no reason for the change and does not say whether the fund has held a final close; Form D asks for neither.
The sequence on the record
The original Form D (accession 0001986264-24-000001, December 6, 2024) gave notice of a $100,000,000 exempt offering of limited partnership interests under Rule 506(b) with no sale yet, for a Delaware fund formed in 2023 and described as a venture capital fund, claiming both the section 3(c)(1) and 3(c)(7) exclusions. The December 2025 amendment (accession 0001986264-25-000003) dated the first sale December 9, 2024, reported $19,530,000 sold to 11 investors with $80,470,000 remaining, and claimed 3(c)(1) only. The October 2026 amendment (accession 0001986264-26-000001) reports $42,280,000 sold to 29 investors, reduces the offering to $42,280,000 and shows $0 remaining. No minimum investment is stated on any of the three and no sales compensation is paid; Henry P. Vigil signed each as managing member of the ultimate general partner.
The firm
Acequia Capital was founded in Seattle in 2010 by Henry P. (Hank) Vigil, a former Microsoft senior executive, and invests at the pre-seed and seed stage. It files with the SEC as an exempt reporting adviser, Acequia Capital Management LLC (CRD 176533), whose March 31, 2026 Form ADV lists 17 private funds. AltStreet's Form D ledger holds 19 Acequia Capital filers since 2015, deal-specific vehicles among them, and an Origin series: Origin 21 LP (July 2021), Origin 22 LP (July 2022), Origin SP I LP (November 2024), this Origin LP (December 2024) and a vehicle named Origin SBIC LP (September 2025). None of the other Origin vehicles amended its Form D in the same window.
What the change does and does not establish
A Form D offering amount is a ceiling the filer states, not a target it is bound to, and lowering it to the amount sold is one way a fund records where its raise stands. The record establishes the reported amount, $42,280,000, and its progression from $19,530,000 a year earlier. It does not establish a final close, a change of target or whether the offering continues; the original $100 million may have been a preliminary ceiling. The dropped 3(c)(7) claim narrows the exclusion the fund relies on to one limited to 100 beneficial owners; it says nothing about who the investors are.

What the filings do not show
The amendment does not say why the offering amount was reduced, whether the fund remains open to new subscriptions, or anything about its investments, net asset value or distributions. The description of the firm comes from its own public descriptions, its Form ADV and third-party fund databases, not from the Form D. AltStreet has not asked the firm for comment.
