Seven Advent GPE XI Feeders Report the Same $25.5 Billion Sold. Adding Them Up Gives $204 Billion.
Seven Advent International vehicles filed Form D amendments on the same July day, each reporting an identical $25,500,000,000 against investor counts ranging from 8 to 250. An eighth reported $25,850,000,000 in September. None of the eight says the total is shared.
Key facts
6- Seven Advent International GPE XI vehicles filed Form D/A on 2026-07-09, each reporting total amount sold of exactly $25,500,000,000.
- Their investor counts differ: 175, 11, 93, 250, 79, 8 and 10, totalling 626 across the seven filings.
- Advent Partners GPE XI-C SCSp (CIK 0002070728) filed a D/A on 2026-09-04 reporting $25,850,000,000 against 77 investors (accession 0002070728-26-000001), with a date of first sale of 2025-09-05.
- Summing the eight reported figures gives $204,350,000,000, roughly eight times the largest single figure any of them reports.
- None of the eight filings contains any clarification-of-response text identifying the total as covering multiple vehicles.
- All seven Advent International vehicles filed original Form Ds on 2025-06-18 reporting $0 sold and zero investors.
Seven Advent International vehicles filed Form D amendments with the Securities and Exchange Commission on July 9, 2026. Each reports the same total amount sold: $25,500,000,000. Their investor counts are all different, ranging from 8 to 250. An eighth vehicle in the same program, Advent Partners GPE XI-C SCSp, filed on September 4, 2026 reporting $25,850,000,000 against 77 investors (accession 0002070728-26-000001).
Read one of those filings on its own and it describes a $25.5 billion fund. Read all eight and add the figures up, as an automated screen would, and Advent's GPE XI program appears to have raised $204,350,000,000. None of the eight filings contains a single word of clarification explaining which reading is correct.
What the filings show
The seven Advent International GPE XI vehicles are Luxembourg special limited partnerships filing under Rule 506(b) as private equity funds. All seven filed their original Form D on June 18, 2025 reporting $0 sold and zero investors. All seven filed amendments on July 9, 2026 reporting an identical $25,500,000,000.
The investor counts are what separate them: 175 for the unlettered Advent International GPE XI SCSp, then 11, 93, 250, 79, 8 and 10 across the A through F vehicles, totalling 626. A dollar figure that is identical across seven filers while the investor counts differ is the signature of a single program total repeated on each feeder's form rather than seven vehicles that each happened to raise the same amount.
Advent Partners GPE XI-C SCSp sits in a separate naming family and filed two months later, on September 4, 2026, reporting $25,850,000,000 against 77 investors. Its offering amount is listed as indefinite, it was organized in Luxembourg in 2022, and its date of first sale is September 5, 2025. Its figure is $350,000,000 higher than the seven, which is consistent with a later snapshot of the same rising program total, though no filing states that.

Background
Advent International is a Boston-based private equity firm founded in 1984. Feeder structures of this kind are routine for large institutional funds: a sponsor forms parallel partnerships in different jurisdictions and with different tax characteristics so that European, US taxable, US tax-exempt and other investor types can reach the same portfolio, and each partnership files its own Form D.
Form D has no field for identifying a filing as one of several covering a single offering. Item 13 asks for the total amount sold; it does not ask whether that total belongs to the filing entity alone or to a wider program. Filers that want to make the distinction have to write it into the free-text clarification of response. In this case none of the eight did.
The pattern in AltStreet's data
This is the third time this year that the shared-total pattern has changed what a filing appeared to say. In September 2026 AltStreet corrected a published article that had attributed a combined $819.1 million to a single Stonepeak feeder and divided it by that feeder's 104 investors. In that case the filer had written the clarification: the form said the total included sales by named sibling partnerships.
The Advent filings are the harder version, because the explanatory sentence is absent. The only way to see that $25.5 billion is a program figure is to pull all seven filings and notice that the number does not move while the investor counts do. Any screen reading one filing, or summing several, gets a different and wrong answer.
Why it matters
Form D totals feed league tables, market-sizing estimates and fundraising trackers, and the amount-sold field is the standard input. Where a sponsor uses eight feeders for one fund, that input overstates the raise by a factor of eight unless the reader knows to deduplicate. Advent's GPE XI appears in EDGAR at $204 billion and in its own filings at roughly $26 billion.
For anyone performing diligence on a specific vehicle, the more practical point is the reverse. The $25.85 billion on the Advent Partners GPE XI-C filing is not that partnership's capital. Its 77 investors did not commit $25.85 billion, and dividing one figure by the other produces an average commitment of $336 million that describes nothing real. The per-vehicle amount is not disclosed on these forms at all.

What the filings do not show
No filing reviewed here states that $25,500,000,000 is a combined total. That reading rests on seven filers reporting an identical figure on one day while reporting different investor counts, which is strong evidence but remains an inference from the pattern rather than a disclosure by Advent. Advent has not been asked for comment on these filings and has published no statement addressing them that was located in this review.
The filings do not disclose how much capital any individual vehicle raised, how the 703 reported investor slots across the eight filings map to distinct institutions, or whether an investor appearing on one feeder also appears on another. The $350,000,000 difference between the July and September figures is not explained in either filing, and the assumption that both describe the same program total is not confirmed by any document.
Nothing here indicates a filing deficiency. Reporting a program total on each feeder's Form D is a common and permissible practice, and the clarification field is optional. The observation is about what the data supports when read in aggregate, not about compliance.
