AG Europe Realty III Vehicles Report Lower Amounts Sold After Five Years of Unchanged Form D Figures
AG Europe Realty Fund III, L.P. and AG Europe Realty Holdings III, L.P., both managed by Angelo, Gordon & Co., repeated the same round totals in every annual Form D amendment from 2021 to 2025. Amendments filed October 27, 2026 report exact, lower amounts and fewer investors, without saying why.

- The amendments do not establish that the fund lost assets, returned capital or had investor withdrawals, and neither explains the change.
- Both give a first sale date of October 18, 2019, an indefinite offering amount and a $5,000,000 minimum.
Two filers in Angelo, Gordon & Co.'s third European real estate fund reported lower amounts sold in Form D amendments filed October 27, 2026. AG Europe Realty Fund III, L.P. now reports $208,356,895 sold to 51 investors, against $509,250,000 and 64 investors a year earlier. AG Europe Realty Holdings III, L.P. reports $165,037,516 sold to 11 investors, against $450,000,000 and 19.
The amendments do not establish that the fund lost assets, returned capital or had investor withdrawals. Neither filing says why the figures changed.
The two amendments
Both amendments were signed October 26 and filed the next day. Each still gives a first sale date of October 18, 2019, an indefinite offering amount, a $5,000,000 minimum investment and Rule 506(b) with the Section 3(c)(7) exclusion, and neither uses the clarification field to explain the new figures. The two filers have the same general partner and related persons, but the filings do not say whether their interests overlap, so their figures are shown separately here rather than added together. The change on each filer:
| Issuer | Previously reported sold | Newly reported sold | Reported investors |
|---|---|---|---|
| Fund III | $509.25M | $208.36M | 64 to 51 |
| Holdings III | $450.00M | $165.04M | 19 to 11 |

Five years of unchanged figures
From 2021 to 2025 both filers repeated the same round totals in each annual amendment. The 2026 amendments are the first to report exact figures, and the first to report lower ones. Each filer's record since its first Form D:
| Filed | Fund III sold | Fund III investors | Holdings III sold | Holdings III investors |
|---|---|---|---|---|
| Oct 2019 (Form D) | $368,450,000 | 28 | $182,800,000 | 6 |
| Oct 2020 | $496,450,000 | 53 | $386,000,000 | 17 |
| Oct/Nov 2021 | $509,250,000 | 66 | $450,000,000 | 19 |
| Oct 2022 to Oct 2025 (four amendments) | $509,250,000 | 64 | $450,000,000 | 19 |
| Oct 27, 2026 | $208,356,895 | 51 | $165,037,516 | 11 |

The fund behind the filings
Angelo Gordon announced in July 2020 that AG Europe Realty Fund III had closed at its hard cap with more than $1.5 billion of equity commitments for value-add real estate in the UK and Western Europe. The two filers' Form D figures never reached that amount; the filings do not say whether other vehicles in the program filed separately or whether the amounts were measured on a different basis from commitments. Angelo, Gordon & Co. has been part of TPG since 2023.
Why it matters
Form D reports a cumulative amount sold, which ordinarily stays flat or rises over an offering's life, so a reduction of this size on both filers on the same day is an unusual change in the fund's public record, whatever its cause. Use the latest figures when describing each issuer's current Form D disclosure, while retaining the earlier filings as historical records; the amendments do not establish that the earlier figures were incorrect when filed. Anyone relying on either set of figures can ask the manager what each one measures.

What the filings do not show
The amendments do not state why the amounts and investor counts are lower, whether the earlier figures were commitments and the new ones something else, or whether interests moved between vehicles. They do not report contributions, distributions, asset values or performance, which Form D does not cover. AltStreet has not contacted Angelo Gordon.
