Two Global Atlantic Vehicles Each Report $2 Billion Sold in First Form D Notices; Overlap Unresolved
Global Atlantic Insurance Opportunities TopCo LLC and Global Atlantic Insurance Opportunities Vehicle (General) LLC each report $2,000,000,000 sold, with a first sale on July 30, 2025. Rule 503 asks for a notice within 15 days of the first sale; these arrived on October 23, 2026.
Key facts
5- Global Atlantic Insurance Opportunities TopCo LLC (CIK 2143446) and Global Atlantic Insurance Opportunities Vehicle (General) LLC (CIK 2143520) filed original Form D notices on October 23, 2026.
- Each notice reports $2,000,000,000 sold against an indefinite offering amount: TopCo from 1 investor, Vehicle (General) from 2.
- Both date the first sale to July 30, 2025. Rule 503's 15-day deadline for that sale fell on August 14, 2025, about 14 months before the notices were filed.
- Both claim Rule 506(b) and the Section 3(c)(7) exclusion, report no sales commissions, and list Global Atlantic Limited (Delaware) as promoter.
- The notices do not say whether the two $2 billion figures are the same capital reported at two levels.
Two Delaware companies named for Global Atlantic, the KKR-owned life and annuity insurer, filed their first Form D notices on October 23, 2026. Global Atlantic Insurance Opportunities TopCo LLC reports $2,000,000,000 sold to one investor. Global Atlantic Insurance Opportunities Vehicle (General) LLC reports the same $2,000,000,000 sold to two investors. Both notices date the first sale to July 30, 2025, so the figures are cumulative amounts reported in October, with first sales dated July 2025, rather than a raise made this month. The notices do not say when the money was committed.
What the filings show
The two notices are nearly identical. Both entities were formed in Delaware in 2025, give 30 Hudson Yards in New York as their address, place themselves in the Insurance industry group and answer yes to the pooled investment fund question. Both claim Rule 506(b) and the Investment Company Act exclusion in Section 3(c)(7), which limits ownership to qualified purchasers, and both report an indefinite offering amount, no minimum investment, no sales commissions or finders' fees and no non-accredited investors. Each lists Global Atlantic Limited (Delaware) as promoter, the same slate of executive officers and managers, and the same signer, co-president Jason Kao. Neither names a broker or other paid solicitor, so neither lists states of solicitation.

Filing timing
Rule 503 of Regulation D calls for a Form D within 15 calendar days after the first sale. For a first sale on July 30, 2025, that date was August 14, 2025; both notices were filed 435 days later. Late filing alone does not automatically eliminate the Rule 506 exemption; Rule 507 addresses issuers subject to a court injunction for failing to file. States can impose their own late-filing fees on notice filings. The notices do not explain the timing.
Both notices are originals and are the first Form D notices located for either vehicle; an EDGAR full-text search found no earlier filing naming either entity.
Background
KKR bought a majority of Global Atlantic Financial Group in 2021 and, in November 2023, agreed to buy the remaining 37% for about $2.7 billion in cash, according to the companies' announcement and Bloomberg. The notices describe the issuers only in Form D terms. They do not name a strategy, a manager or the assets held, and AltStreet found no public description of either vehicle.
Reading the two $2 billion figures
The notices should not be added together. Identical totals, an identical first-sale date, the same officers and the same signer are consistent with one pool of capital reported at two levels of a structure, for example an investor vehicle that holds an interest in the TopCo. That is an inference; neither notice states how the two entities are related, and Form D does not require it. On that reading, the one investor in the TopCo could be the Vehicle (General) itself, which in turn has two investors, but the filings do not say so.
The notices also do not identify the investors. With 3(c)(7) and Rule 506(b), every buyer had to be an accredited investor and a qualified purchaser, and neither filing reports commissions, finders' fees or a compensated solicitor. Whether the money came from Global Atlantic's own balance sheet, from KKR or from outside institutions cannot be determined from the filings.

What the filings do not show
The notices do not disclose the investors, the vehicles' strategy or assets, fees, or whether the two reported totals overlap. They do not say why the notices were filed 14 months after the first sale. 'Indefinite' as the offering amount means no cap was stated; it is not a target, and the $2,000,000,000 sold is not a fund size. A change in the amount sold does not by itself require an immediate amendment; an annual amendment is due if the offering is still continuing on the anniversary of these notices.
