Resurge TopCo Reports $2.45 Billion in Equity Sales; Directors Include Saber Power CEO
The Delaware partnership's first Form D, filed October 22, reports $2,454,875,964 of equity sold to 125 investors in a business combination that includes a rollover of target company equity. Six of its seven related persons are Veritas Capital personnel; the seventh is Brian Bratton, chief executive of Saber Power Services, which Veritas agreed in August to acquire. The notice does not name the target.
Key facts
7- Form D filed October 22, 2026 (signed October 21), the only filing on EDGAR for CIK 2160537: Delaware limited partnership, equity, Rule 506(b), date of first sale October 2, 2026, industry group Other Energy.
- Offering amount and amount sold $2,454,875,964; nothing remaining; 125 investors; no non-accredited investors reported; minimum investment $500; no commissions, finders' fees or proceeds to related persons.
- Business combination: 'Entails a (1) rollover of target company equity in exchange for newly issued equity of the Issuer, (2) reinvestment of transaction proceeds and/or (3) new investments,' the same wording as Project Evergreen TopCo LP (CIK 2160536), filed October 19.

- Veritas Capital's team page lists Khatod (Partner, Flagship), Sugar and Dimitri (Partners, Co-Heads of Flagship Private Equity), Appel (Principal, Flagship), Matthew Bender (Vice President, Flagship), Cahill (CFO) and Dipo Ashiru (General Counsel and CCO).
- Veritas's August 6, 2026 release: agreement to acquire Saber Power Services from Greenbelt Capital Management; partner with President and CEO Brian Bratton; key managers 'will retain a significant minority stake'; close expected in the fourth quarter of 2026; 'Financial terms of the transaction were not disclosed.'
- Rule 503 timing: first sale October 2, 2026; 15 days later was Saturday, October 17, so the notice was due Monday, October 19 and was filed October 22, three days late. Project Evergreen (first sale October 1) was due Friday, October 16 and filed October 19.
Resurge TopCo LP, a Delaware limited partnership, filed its first Form D on October 22, 2026, reporting $2,454,875,964 of equity sold to 125 investors, the full amount offered, with a date of first sale of October 2. The notice marks the offering as a business combination and, in the same words as the Project Evergreen TopCo notice filed three days earlier, says it 'Entails a (1) rollover of target company equity in exchange for newly issued equity of the Issuer, (2) reinvestment of transaction proceeds and/or (3) new investments.' It does not name the target. Six of its seven related persons are Veritas Capital partners and executives. The seventh, Brian Bratton, is President and Chief Executive Officer of Saber Power Services, a Houston power infrastructure services company that Veritas agreed on August 6 to acquire from Greenbelt Capital Management, without disclosing terms.
What the filing shows
The filing is the only one on EDGAR for CIK 2160537. It lists the principal office as 9 West 57th Street, 32nd Floor, New York, with the telephone number (212) 415-6700, the same address and number as Project Evergreen TopCo's notice of October 19, and like that notice it was signed by Oladipo Ashiru as Secretary. Resurge places itself in the Other Energy industry group; Evergreen chose Business Services. The securities are equity offered under Rule 506(b). The offering amount and the amount sold are both $2,454,875,964, nothing remains, and 125 investors are in; the notice reports no non-accredited investors. The minimum investment accepted from an outside investor is $500. No sales commissions, finders' fees or proceeds to related persons are reported, and the notice answers no to whether the offering will last more than a year.
The related persons are Sumit Khatod, an executive officer and director; Sean Cahill, an executive officer; and directors Daniel Sugar, James Dimitri, Alexander Appel, Matt Bender and Brian Bratton. Bratton is the only one listed at an address outside Veritas's office, in Houston.
Rule 503 requires a Form D within 15 calendar days after the first sale, moved to the next business day when that falls on a weekend or holiday. Fifteen days after October 2 was Saturday, October 17, so the notice was due Monday, October 19; it was filed October 22, three days late. The same check on Project Evergreen gives the same result: a first sale on October 1, due Friday, October 16, filed October 19. A late notice does not by itself cost an issuer the Regulation D exemption.
Background
Veritas Capital's team page lists Sumit Khatod as Partner, Flagship; Daniel Sugar and James Dimitri as Partners and Co-Heads of Flagship Private Equity; Alexander Appel as Principal, Flagship; Matthew Bender as Vice President, Flagship; Sean Cahill as Chief Financial Officer; and Dipo Ashiru as General Counsel and Chief Compliance Officer. Sugar, Dimitri, Cahill and Ashiru also appear on the Project Evergreen notice, whose other directors include the chief executive of Trinity Consultants and a partner at its seller, Oak Hill Capital.
Bratton is not on the Veritas team page. Veritas's August 6, 2026 release announcing the Saber Power agreement describes Saber, founded in 2010 and headquartered in Houston, as 'a fully integrated power infrastructure services platform.' It says Veritas 'will partner with President and Chief Executive Officer Brian Bratton' and the management team, who will continue to lead the company; that 'Key members of Saber's management team will retain a significant minority stake in the Company'; that the transaction 'is expected to close in the fourth quarter of 2026'; and that 'Financial terms of the transaction were not disclosed.' Daniel Sugar is the Veritas partner quoted.
Managers keeping a minority stake while a sponsor buys in is the arrangement the Form D's business combination items describe: a rollover of target company equity, reinvestment of transaction proceeds and new investments. The Form D does not say Resurge is the Saber vehicle, and no announcement connects them. No closing announcement had been published as of October 26.
The pattern in AltStreet's data
AltStreet now holds two Veritas holding-company notices filed in one week with the same office, the same signer and the same business combination language: Project Evergreen, $2,360,619,775 sold to 296 investors with a first sale on October 1, and Resurge, $2,454,875,964 sold to 125 investors with a first sale on October 2. Each lists, beside Veritas personnel, people who lead or sold a company in one of the acquisitions Veritas announced in August. The two also hold consecutive CIKs (2160536 and 2160537), which shows they registered with EDGAR at about the same time and nothing more.
Why it matters
If Resurge is the Saber vehicle, the Form D is the first public figure tied to a transaction whose terms were not disclosed. The figure needs its definition. The $2,454,875,964 is equity reported sold under a notice that says the offering can include rolled-over target equity, reinvested proceeds and new money, and does not separate them. The notice does not establish the purchase price, the enterprise value or the transaction's mix of equity and debt financing, and the figure is not the cash Veritas put in.
The October 2 date of first sale is when securities were first sold under the notice, not necessarily the date an acquisition closed. The 125 investors and the $500 minimum are consistent with Saber managers rolling equity into a new holding company, as the release described, but the notice does not identify who invested.

What the filing does not show
The Form D does not name the target, the sponsor, the purchase price or any debt financing. The Veritas connection rests on six related persons' titles on the firm's team page, the office address and telephone number, and the shared signer and language with Project Evergreen; the Saber connection rests on Bratton's role in the August 6 release and on the match between that release's ownership description and the notice's business combination items. Neither Veritas nor Saber has said Resurge is the Saber vehicle. The notice does not say how much of the amount sold is rolled equity and how much is cash, or whether the transaction has closed.
