FundersClub Review 2026: Fees, the Vehicles, the FCVC Funds and What the Filings Show
FundersClub, an online venture firm founded in 2012, offers accredited members single-company and multi-company venture funds from $3,000 and $10,000, with no commission on the amount invested and carry of 1% to 30% plus management fees of 0.25% to 3% a year, set fund by fund. No member fund was available to the account AltStreet checked on October 24, 2026, and AltStreet located no new member Form D after December 2024, while FundersClub's separate FCVC venture funds filed new Form Ds in 2025 and July 2026. Member vehicles are unaudited and valued by FundersClub under a published methodology, and no realized-return or distribution record is public.

What the data actually shows - TL;DR
FundersClub launched in 2012 as one of the first online venture firms and backed Coinbase, Instacart and GitLab early. Members invest deal by deal through a fund FundersClub forms for each company or batch of companies, from $3,000 (single-company) or $10,000 (multi-company); FundersClub charges no commission on the amount invested and earns carry and, on some funds, management fees, which its public pages give only as ranges.

When AltStreet checked on October 24, 2026, no member fund was available, and AltStreet located no new member Form D after December 2024, against 50 new member offerings in 2016. FundersClub has kept raising through FCVC, a separate line of conventional venture funds that third-party profiles describe as institutional. The public record shows mostly timely filings and no regulatory action or case naming the firm in the searches AltStreet ran; it is thin on outcomes: member vehicles are unaudited and valued by FundersClub under its own published methodology, and no distribution or realized-return figure is public.
Member funds available to the account AltStreet checked on October 24, 2026 ('None currently available. Show all funds.'). The latest member vehicle Form D AltStreet located was filed December 2, 2024; the Auto-Invest banner was still live.
Sold across 275 member offerings, 2012 to 2024, on the vehicles' Form Ds (13,610 investor positions, not deduplicated). The home page says '$185M+ Invested on FundersClub'; the gap is not explained and may include sales outside Form D.
Carried interest range FundersClub publishes for its single- and multi-company funds, with an average annual management fee of 0.25% to 3%; each vehicle's actual terms sit on its fund profile behind login. No commission on the amount invested.
Gross assets reported on the March 2026 Form ADV for the 174 member vehicles still listed, on FundersClub's own estimates under its published methodology (later financing rounds, qualifying secondaries and, since Q2 2025, subjective markups). Their Form Ds report $117.6M sold. The two figures are on different bases and are not a return.
Member vehicles with a Form D ($37.1M sold) that are no longer listed on the March 2026 Form ADV. Their disposition is unconfirmed: FundersClub publishes no record of which distributed money, which were written off, and which are otherwise no longer reported.
Code-named member vehicles whose original Form D came after the 15-day deadline (moved to the next business day where it fell on a weekend or holiday); median filing 14 days after the first sale.
Terms from the FundersClub support center as displayed October 24, 2026. Form D figures from AltStreet's census (the largest amount sold in each offering chain). Gross asset values from the Form ADV filed March 31, 2026; they are FundersClub's estimates for the unaudited member vehicles, reported before any liabilities, while Form D amounts sold may not be final capital raised, so the two are not compared as a return. Portfolio counts from fundersclub.com/portfolio as displayed October 24, 2026.
Quick Verdict
Is this platform right for you?
FundersClub was an early online venture firm with real seed-stage wins, including Coinbase and Instacart. Most of its initial Form Ds were timely, it takes no commission on the money invested, and AltStreet located no regulatory action or case naming it.

For a prospective member the picture is less clear: no member fund was available when AltStreet checked on October 24, 2026, AltStreet located no member Form D after December 2024, and the FCVC funds have kept raising. The member record is hard to judge from public sources: fees are published only as ranges, the vehicles are unaudited and valued by FundersClub under its own methodology, and no distribution or realized-return figure is public.

Overview
Platform Overview
A concise read on what the platform is, how the structure works, and where the practical friction shows up for real investors.
FundersClub is an online venture firm. Its investment team selects startups, first at the seed and Series A stage, often from accelerators such as Y Combinator and 500 Startups, and offers its accredited members the chance to invest alongside the round through a vehicle it forms for the purpose. A single-company fund is an LLC that holds one company's securities; a multi-company fund (the Accelerate FC funds built around an accelerator batch, theme funds, and the Opportunity funds that follow on in later rounds) spreads one commitment across several.
FundersClub Management LLC manages the vehicles; FundersClub Inc. is the adviser, an SEC exempt reporting adviser. Members can also invest in Partnership funds run by outside managers, such as FJ Labs, on the managers' own terms. The vehicles rely on Rule 506(b) and Investment Company Act section 3(c)(1).
Members commit online or through an IRA or entity, receive quarterly estimated values on a dashboard and a K-1 each year, and are paid only when a company is sold or lists. Separately, FundersClub manages the FCVC funds, conventional venture partnerships with their own general partners, minimums of $20,000 to $100,000 on its Form ADV, and annual audits.
It grew with the Y Combinator and 500 Startups batches, running Accelerate FC funds, numbered I to XXV, around Y Combinator, 500 Startups and Creative Destruction Lab batches, the last for Y Combinator Winter 2021, theme funds (bitcoin and payments, hardware, future of work, fintech, VR and AR) and from 2014 Partnership funds for outside managers such as FJ Labs. Its own figures today are 36,000 members, '420+ startups funded', '$185M+ invested' and a portfolio 'valued at more than $30B'. Since 2018 FundersClub has also run the FCVC funds, larger conventional venture partnerships, and it filed Form Ds for FCVC Fund IV, Leaders I and Explorer I in 2025 and 2026, after the latest member Form D AltStreet located.

Products
Single-company funds; multi-company funds (Accelerate FC, theme, Opportunity follow-on funds); Partnership funds by outside managers; Auto-Invest reservations. Separately, the FCVC funds.

Investor Operations
The practical questions investors actually care about: when tax documents arrive, how cash distributions work, and whether capital can be exited before the underlying asset is sold.

Cash Flow
Distributions
Frequency
Irregular, on exits.
Timing

Consistency
No distribution history published.
Liquidity
Exit Reality
Holding period
Until exit.
Exit options
- Distributions after an acquisition or listing.
Secondary market
None; transfers need FundersClub's approval and are generally not permitted.
Investment Structures
Single-company funds
One LLC per company and round; typical minimum $3,000; carry and management fee within the published ranges, set per fund.
Multi-company funds
Accelerate FC batch funds, theme funds and Opportunity follow-on funds; typical minimum $10,000.
Partnership funds
Funds of outside managers such as FJ Labs, Signatures Capital and Firebolt Ventures, with fees set by those managers.
FCVC funds
Conventional venture partnerships (Fund I to IV, Leaders I, Explorer I) with separate general partners, audited, $20,000 to $100,000 minimums on the Form ADV; not listed on the member fund page.
Risk
Risk Structure
This is where the marketplace pitch gives way to the actual operating reality: delayed exits, limited disclosure, fee drag, and path-dependent outcomes.
Asset
Minority stakes in seed and early-stage private companies, mostly US, many from accelerator batches.
Cost layer
No commission on the amount invested; carry 1% to 30% and management fee 0.25% to 3% a year per fund; an administrative-cost holdback of undisclosed size.
Audit and valuation
174 member vehicles unaudited, with no administrator or custodian named; values are FundersClub's estimates under its published methodology, with no third-party pricing.
Deal flow
No member fund available to the account checked on October 24, 2026; latest member Form D located December 2024; FCVC funds raising separately.
Liquidity
None until an exit; transfers subject to FundersClub's approval.
Fees published only as ranges
Carry and management fees are published only as ranges (1% to 30%; 0.25% to 3% a year), and the administrative-cost holdback has no stated size.
Why it matters
At the top of the range, a 30% carry and a 3% annual fee would take a large share of any gain; the range alone does not say which applies.
Mitigation / verification
Read the fund profile and operating agreement for the specific vehicle before committing, including the holdback.
Self-set values
Member vehicles are unaudited and valued by FundersClub under its methodology: later priced rounds, qualifying secondaries and, since Q2 2025, subjective markups.
Why it matters
The dashboard value is FundersClub's estimate until an exit; a later round's post-money valuation is not a price at which the holding could be sold, and the values are not verified by the companies or a third party.
Mitigation / verification
Treat estimated values as indicative until cash is distributed; ask which valuation event or markup set a holding's value.
No outcome record
No distributions, write-offs or realized returns are published, and 94 member vehicles are no longer listed on the Form ADV, disposition unconfirmed.
Why it matters
A member cannot compare FundersClub's results with other managers' from public sources.
Mitigation / verification
Ask FundersClub for distributions paid per dollar committed across past vehicles of the same type.
No member fund available
No member fund was available to the account AltStreet checked on October 24, 2026, and AltStreet located no member Form D after December 2024, while FCVC funds raise.
Why it matters
Auto-Invest and membership give access to nothing until a member fund opens, and how FundersClub allocates investments between member funds and the FCVC funds is not public.
Mitigation / verification
Ask whether member funds will resume and how FundersClub allocates deals between members and FCVC.
Regulatory & Legal Posture
Security Status
Membership interests in private venture LLCs relying on Investment Company Act section 3(c)(1), offered to accredited investors under Rule 506(b); the FCVC funds are limited partnerships relying on 3(c)(1) or 3(c)(7). The adviser is an SEC exempt reporting adviser.
An exempt reporting adviser files parts of Form ADV and is subject to the Advisers Act's antifraud rules, but is not registered, so the custody rule's audit requirements for registered advisers do not apply to its funds. A Form D is a notice of a sale, not an SEC review.
- Form ADV filed March 31, 2026: 179 private funds, all venture capital, $919.8 million gross assets, 9,645 beneficial owners, about 17% held by non-US persons (value-weighted); 5 audited (the FCVC funds, Frank, Rimerman and Co. LLP); no disciplinary disclosures.
- Form D census: 284 Form Ds and amendments by FundersClub Inc. and 238 code-named vehicles, plus 43 by 36 early-named and FCVC vehicles, 2012 to July 2026; member offerings $154.7 million sold; 7 of 243 code-named originals filed after the business-day-adjusted deadline.
- No sales-compensation recipient named on any FundersClub Form D; sales commissions and finder's fees $0 throughout.
- AltStreet located no SEC or FINRA action and no court case naming FundersClub, FundersClub Management, the FCVC funds or the founders as a party, as of October 24, 2026.
Disclosure Quality
Mixed. Investor terms are public as ranges in the support center; the Full Disclosure page and the valuation methodology are candid about how estimates are made; fund-specific fees are shown to members rather than publicly, outcomes are not public, and failed companies are labeled Active.
Custody Model
Assets are held in each LLC; the Form ADV names no custodian or administrator for any member vehicle. The FCVC funds are administered by Carta Investor Services.
Regulatory Backing
Exempt reporting adviser (SEC and California); no broker-dealer or funding-portal registration.
Tax Treatment
Reporting
Schedule K-1 from each fund.
FundersClub 'targets electronically delivering to fund investors the majority of K-1s by April 15th', with rare later delivery.
Income Character
Partnership allocations: gains on exits, losses on write-offs
Each vehicle is taxed as a partnership and issues a K-1. FundersClub's education pages explain that losses on failed investments can offset gains and up to $3,000 a year of ordinary income, with the rest carried forward. Many small vehicles mean many K-1s. Consult a tax adviser.
Limitation
AltStreet is not a tax adviser and did not see any operating agreement's tax provisions.
Special Considerations
- One K-1 per vehicle; a member with dozens of small positions receives dozens of K-1s.
- K-1s can arrive close to April 15, which may require an extension.
Account Suitability
Taxable
Yes.
Roth IRA
FundersClub accepts IRA investments; check the custodian's rules on private LLC interests.
Traditional IRA
As above.
HSA

What the data actually shows
Three records describe FundersClub, and they measure different things: Form D sales, Form ADV gross assets, and the portfolio page's statuses.
No new member offering located since 2024
New member offerings by year of first Form D: 50 in 2016, 46 in 2017, then 32, 21, 8, 5, 3, 1 and 5 to 2024; none located after December 2, 2024. FCVC filed in May 2025, June 2025 and July 2026.
What this means
The firm is raising; AltStreet located no new member offering, and no member fund was available when checked.
Reported values and sales on different bases
174 member vehicles: $527.1M gross assets on the Form ADV against $117.6M sold on their Form Ds; 61 report less than was sold.
What this means
FundersClub's estimates under its methodology, reported before liabilities; not comparable to sales as a return.
Vehicles that left the record
94 of 268 member vehicles ($37.1M sold) are not on the March 2026 Form ADV, including the 2012 Coinbase and 2013 Instacart vehicles.
What this means
Disposition unconfirmed; whether each distributed, was written off or left the list for another reason is not public.
Failed companies labeled Active
416 companies: 313 Active, 98 Acquired, 5 via acquisition; bankrupt Le Tote and shut-down SpoonRocket and Move Loot shown Active.

Editorial View
AltStreet Perspective
The compressed version of the review: what matters, what marketing tends to obscure, and how we would frame the platform for a serious allocator.
Verdict
FundersClub's story is a platform that worked and then moved on. Between 2015 and 2017 it opened more than 40 member offerings a year and put members into seed rounds that later produced some of the decade's largest listings. Since 2018 it has built a conventional fund business, FCVC, and AltStreet located no new member offering after December 2024. What members can see is a portfolio valued by FundersClub under a published methodology, with no public account of what has been paid out. Its conduct record in the sources AltStreet searched is good; its outcome record is not public, and an investor should not treat estimated values as returns.
Positioning
Against OurCrowd, which publishes a worked fee schedule but files late and faces disputes at the general partner, FundersClub's initial Form Ds were mostly timely and AltStreet located no action naming it, but its public pages give fees only as ranges; against AngelList, whose syndicates and registered fund remain open, FundersClub's member side is closed; against Alumni Ventures, which publishes a vintage DPI and TVPI record, FundersClub publishes no realized figures, though it does publish its valuation methodology.
The Bottom Line
An early online venture firm with a mostly timely filing record and no member fund available when checked, whose unaudited vehicles are valued by FundersClub and have no public record of distributions.
Action
Next Steps
If you still want to engage after reading the review, these are the practical next moves that reduce avoidable mistakes.
If a member fund opens, read its profile for the carry, management fee and administrative-cost holdback before committing.
Ask FundersClub how deals are allocated between member funds and the FCVC funds, and whether member funds will resume.
Ask for distributions paid per dollar committed across past single-company and multi-company funds.
If you hold a vehicle, ask how its estimated value was set and whether it has made or will make a distribution.
Check the vehicle's Form D on EDGAR for the amount sold and the exemption claimed.

FAQ
Frequently Asked Questions
High-intent search questions answered directly, without making users hunt through the full review.
Is FundersClub legit?
It is a real, long-running firm. FundersClub Inc. has been an SEC exempt reporting adviser since 2016 (California since 2013) and reports no disciplinary disclosures; most of its initial Form Ds were timely (7 of 243 late); and AltStreet located no regulatory action or court case naming it as a party in the searches it ran as of October 24, 2026. Its member vehicles are unaudited and valued by FundersClub, and no realized returns are published.
Can I invest on FundersClub right now?
Not on October 24, 2026, for the account AltStreet checked: the Browse Funds page showed 'None currently available', and AltStreet located no member Form D after December 2024. FundersClub's FCVC funds filed new Form Ds in 2025 and July 2026, but they are not on the member fund page.
What are FundersClub's fees?
FundersClub charges no commission on the amount invested. Its funds carry 1% to 30% carried interest and an average annual management fee of 0.25% to 3%, stated on each fund profile, and a portion of each commitment is set aside for fund expenses. Partnership funds set their own fees. Distributions by ACH cost $5.
What is FCVC?
FCVC is FundersClub's line of conventional venture funds (Fund I in 2018 to Fund IV, Leaders I and Explorer I in 2025 and 2026), each with its own general partner and audited by Frank, Rimerman and Co. LLP. Third-party profiles describe it as FundersClub's institutional fund; its Form ADV minimums are $20,000 to $100,000.
How has FundersClub performed?
FundersClub backed Coinbase, Instacart and GitLab early and lists 98 acquired companies, but it publishes no realized returns or distributions. Its member vehicles are valued by FundersClub using a published methodology based mainly on later financing rounds; those are estimates, not amounts investors have received.
Can I sell my FundersClub investment?
Generally not. FundersClub says fund interests in most cases may not be sold or transferred, and every transfer needs its approval. Investors are paid when a company is sold or lists.
