A Second TPG Angelo Gordon Fund Reports a Lower Amount Sold: AG Core Plus Realty Fund IV Reports $631.8 Million Against the $1.31 Billion It Had Repeated Since 2018
The November 2 Form D amendment reports $631,840,750 sold to 72 investors, against $1,307,650,000 and 101 investors on every annual amendment from 2018 to 2025. It follows the AG Europe Realty III amendments of October 27 by a week, and neither filing says why the reported figures changed.
Key facts
7- AG Core Plus Realty Fund IV, L.P. (CIK 1620980) reported $631,840,750 sold to 72 investors on a Form D/A filed November 2, 2026 (accession 0001620980-26-000001), against $1,307,650,000 and 101 investors on its amendment of November 3, 2025.
- The $1,307,650,000 figure first appeared on the amendment of November 5, 2018 and was repeated unchanged, with 101 investors, on every annual amendment through November 2025: eight filings, the 2018 amendment and seven repetitions.
- Before 2018 the fund's reported total also moved down once: $314,050,000 to 25 investors on the original notice (November 4, 2014) became $209,540,250 to 91 investors a year later, then $300,375,667, $545,804,305 and $1,307,650,000.

- Every Fund IV filing gives a first sale date of October 30, 2014, an indefinite offering amount since 2015, a $5,000,000 minimum, Rule 506(b) with Section 3(c)(7), and names Park Hill Group LLC (CRD 135898) as recipient of sales compensation in all states.
- AG Europe Realty Fund III, L.P. and AG Europe Realty Holdings III, L.P. reported lower amounts sold on October 27, 2026 after five years of unchanged figures; AltStreet reported that on October 29.
- The amendments do not establish that any fund lost assets, returned capital or had investor withdrawals, and none of them explains the change; the current amendment does not disclose fund assets.
A second fund managed by TPG Angelo Gordon has reported a lower amount sold after years of identical figures. AG Core Plus Realty Fund IV, L.P. reported $631,840,750 sold to 72 investors on a Form D amendment filed November 2, 2026 (accession 0001620980-26-000001). Its amendment a year earlier, and every annual amendment back to November 2018, reported $1,307,650,000 sold to 101 investors.
The filing follows by a week the October 27 amendments in which AG Europe Realty Fund III, L.P. and AG Europe Realty Holdings III, L.P. reported lower totals and fewer investors after five years of unchanged figures. Like those, the Fund IV amendment does not say why the figure changed, and it does not establish that the fund lost assets, returned capital or had investor withdrawals.
What the filings show
The reported total has moved down before. The original notice of November 2014 reported $314,050,000 sold to 25 investors; a year later the fund reported $209,540,250 sold to 91 investors, a lower dollar figure with more investors, before the total climbed through 2018. Form D asks for the total amount sold to date, and a filer that restates it is not required to explain the restatement.
Each filing names Park Hill Group LLC, the placement agent, as the recipient of sales compensation in all states, claims Rule 506(b) and the Section 3(c)(7) exclusion, and gives October 30, 2014 as the date of first sale.
| Amendment filed | Total sold | Investors |
|---|---|---|
| November 4, 2014 (original notice) | $314,050,000 | 25 |
| November 4, 2015 | $209,540,250 | 91 |
| November 4, 2016 | $300,375,667 | 100 |
| November 3, 2017 | $545,804,305 | 101 |
| November 5, 2018 | $1,307,650,000 | 101 |
| November 2019 to November 2025 (seven amendments) | $1,307,650,000 | 101 |
| November 2, 2026 | $631,840,750 | 72 |
AG Core Plus Realty Fund IV, L.P., every Form D and Form D/A on EDGAR. The offering amount was $1,000,000,000 on the original notice and indefinite from 2015; the minimum investment is $5,000,000 throughout.
The pattern at Angelo Gordon's real estate funds
The predecessor fund, AG Core Plus Realty Fund III, L.P., shows the same practice over a longer record. Its amendments report $1,014,150,000 sold in 2012 and 2013, $914,150,000 in 2014, $832,335,623 in 2015, $877,237,327 in 2016, $494,996,875 in 2017, $1,014,150,000 again in 2018 and 2019, and $913,650,000 on every amendment from 2020 to 2024. Fund III's early notices say the offering amount 'includes amounts to be committed to parallel funds, but excludes amounts to be committed by employees and affiliates'. That establishes what the offering amount counted at the time; whether the basis of the amount-sold figure changed later is not something the filings say, and it is a question for the manager.
AltStreet reported on October 29 that AG Europe Realty Fund III, L.P. and AG Europe Realty Holdings III, L.P. had reported lower totals on October 27, 2026 after repeating the same round figures from 2021 to 2025.
Why it matters
Form D reports the amount sold to date and the number of investors; it does not report fund assets, and the current amendment does not disclose them. What the amendment changes is the public record: for seven years anyone checking EDGAR saw a reported amount sold of $1.31 billion with 101 investors, and now sees $631.84 million with 72. Investors and advisers who relied on the earlier public figure have a discrepancy to reconcile with the manager.
The amendment is the kind of change that warrants a direct question to the general partner: whether the new figure reflects commitments reduced, interests transferred out, a different basis for the count, or a correction. The filing supports none of those readings over the others.
