Issuance Express

Issuance Express is a Regulation Crowdfunding funding portal operated by Jumpstart Micro, Inc., which FINRA and the SEC list under that name (file no. 007-00008). Issuance.com is a different product: the parent company's technology for Reg A and Reg D offerings. This review answers three questions: who runs the portal, what investors can buy on it, and what issuers and investors each pay.

What the data actually shows - TL;DR

Issuance Express is the same registered portal that operated as Jumpstart Micro from 2016. Its February 2023 SEC amendment 'reflects a change in control of the funding portal', and the site now says it 'is a wholly-owned subsidiary of Issuance, Inc.' Under Jumpstart, nine companies filed 12 offerings in 2016 and 2017, one reported a raise ($21,000), and the portal then hosted no new offering for more than five years.

Read the full assessment

Since August 2023, 32 companies have filed 37 offerings through it. Across both periods, 11 issuers have reported final totals of $17.85 million on 13 offerings in their progress updates, led by Aptera Motors ($4.99 million) and PlayersTV ($3.20 million); two of its issuers later listed on Nasdaq. Issuers pay a cash success fee of 5% to 7% in recent Form Cs, owed only when an offering closes, and some add a $2,495 to $10,000 flat fee charged up front; AltStreet found no portal fee charged to investors. The thinnest part of the record is what happens after an offering ends: 25 of 38 ended offerings have no amount raised located in EDGAR, and 19 of the 24 companies behind them have filed no progress update, annual report or termination through the portal.

Feb 2023

Change of control reported to the SEC: Jumpstart Micro's founder, Stephen Catanzano, was replaced as controlling officer by Darren Marble and Julian Hardman of Issuance. The portal kept its registration and was renamed Issuance Express. Since March 2023 the registration lists officers but no owner of 5% or more; the site names Issuance, Inc. as sole owner.

$17.85M

Final totals reported on 13 offerings by 11 issuers in their Form C-U filings, 2017 to 2026; each is a closing figure, not an interim update. Aptera Motors ($4,992,855, 2024), PlayersTV ($3,204,288), 151 Coffee ($2,999,064, first offering), VenHub Global ($2,735,671), EVII Mission Hills ($1,962,536, first offering) and UgenticAI ($1,255,238 over three offerings) are the largest. Aptera and VenHub later listed on Nasdaq; that is a company milestone, and AltStreet has not traced whether the securities sold through the portal became tradable.

5% to 7%

Cash success fee in Issuance Express-era Form Cs (one at 3%), paid by the issuer and owed only when an offering closes; several add a flat fee of $2,495 or $10,000, which in some offerings is charged up front. The portal's published ceiling is 'not to exceed 8%' on its site and 'up to 10%' in its November 2024 SEC registration, plus up to 5% in securities. Under Jumpstart it was 6% cash plus a 3% warrant or equity stake.

$0

Portal fee to investors, in the disclosures and Form Cs AltStreet reviewed. Investors pay by card, ACH or USDC through Stripe; Form Cs warn that a card issuer may charge up to 5% or 6% if the payment is treated as a cash advance.

25 of 38

Offerings that have ended (deadline passed or reported complete, not withdrawn) with no amount raised located in EDGAR. Counted by SEC file number, so a company with three offerings counts three times. Of the 24 companies behind them, 19 have filed no progress update, annual report or termination through the portal, so whether those offerings raised anything is not on record.

Issuers are counted by SEC CIK (41) and offerings by SEC file number (49), the unit EDGAR uses to tie a Form C to its amendments and progress updates; each figure below says which it uses. Amounts raised are final totals from the issuers' Form C-U filings. Displayed offering terms are as shown on issuanceexpress.com/invest on November 5, 2026. Bonus-share terms, fees and dates are offering-specific and were read from each Form C.

Quick Verdict

Is this platform right for you?

Issuance Express is a registered, clean-record Reg CF portal that has grown quickly under Issuance since 2023 and hosted a few well-known issuers, two of which later listed on Nasdaq. It costs investors nothing to use; issuers pay 5% to 7% plus, sometimes, a flat fee. The weak point is the record after an offering ends: most ended offerings have no amount raised located in EDGAR, and several issuers stopped filing annual reports.

Best for

  • Investors putting small amounts into companies they know, who will read the Form C and follow the company directly

Avoid if

  • You need to sell before the company does
  • You want a public record of how earlier offerings on the portal turned out
  • You cannot afford to lose the full amount

Top strengths

  • SEC-registered funding portal and FINRA member with no disciplinary history disclosed
  • No portal fee for investors; card, ACH and USDC payment
  • Detailed public issuer guides and disclosures
  • Issuers include companies that later listed on Nasdaq (Aptera, VenHub)

Key limitations

  • 25 of 38 ended offerings have no amount raised located in EDGAR
  • Published fee ceilings disagree (8% vs. 10%), and flat fees are common
  • Ownership not stated in the SEC registration since 2023
  • Bonus-share tiers mean uneven pricing within offerings

Overview

Platform Overview

A concise read on what the platform is, how the structure works, and where the practical friction shows up for real investors.

Jumpstart Micro, Inc. (Delaware, 2016) is an SEC-registered funding portal and FINRA member doing business as Issuance Express, based at 9800 Wilshire Blvd, Beverly Hills. Under Regulation Crowdfunding, a company can raise up to $5 million a year from accredited and non-accredited investors after filing a Form C. Issuance Express prepares and files the Form C, builds the deal page, onboards and screens investors, and coordinates escrow closings with North Capital Private Securities Corporation; the company runs its own marketing. Investors create an account, choose an amount above the offering's minimum (currently $50 to $500), sign the subscription documents and pay by card, ACH or USDC.

The parent, Issuance, Inc., separately sells offering technology for Reg A and Reg D raises at issuance.com. Jumpstart Securities, LLC, a broker-dealer with a similar name, is an unrelated firm.

What investors buy is equity, SAFEs and some debt in small private companies, with Form C disclosures and few public updates afterward. What it costs: issuers pay a cash success fee of 5% to 7% plus, in some offerings, a flat fee; investors pay no portal fee.

Who runs it

Jumpstart Micro, Inc. d.b.a. Issuance Express, funding portal 007-00008 (CIK 1664804), Beverly Hills; officers Darren Marble and Julian Hardman since February 2023, Stephen Catanzano (founder) as Chief Compliance Officer since October 2023. 'A wholly-owned subsidiary of Issuance, Inc.' per the site. Every disciplinary question in its registration is answered No.

Issuance Express vs. Issuance.com

Issuance Express is the Reg CF portal for community rounds open to everyone. Issuance.com is the parent's capital-markets technology for Reg A+ and Reg D offerings, where issuers run their own raises. They share ownership and branding, not regulatory status.

Issuer fees

Site disclosures: upfront fee of $1,000 to $10,000, cash success fee 'not to exceed 8%', securities worth up to 5% of the raise, and pass-through bank and escrow fees. SEC registration (November 2024): up to 10% cash, up to 5% in equity, and $500 a month that may be credited against success fees. Actual Form C terms since 2023: 5% to 7% cash (one at 3%), some with $2,495 or $10,000 flat fees.

Investor fees

No portal fee located in the disclosures or Form Cs. Payment by credit card, ACH or USDC, processed by Stripe; card issuers may treat a card payment as a cash advance.

Offerings displayed (November 5, 2026)

151 Coffee (Class B non-voting shares, $255 minimum, up to $2,000,000, deadline July 1, 2027); EVII Mission Hills (Class B non-voting common, $299.25, up to $3,499,999.50 on the page, December 31, 2026); Chicago Concours (common, $50, $200,000, December 31, 2026); Aeropay Express (common, $500, $2,000,000, March 30, 2027); World's Best Cocktails (common, $100, $350,000 on the page, December 31, 2026); and FairwayPay (membership interests, $80, $1,000,000), still displayed although its filed deadline was October 31, 2026. Each card links to the Form C. Whether each was accepting investments that day was not verified.

Track record

41 issuers (by CIK) and 49 offerings (by SEC file number) since 2016: 9 issuers and 12 offerings under Jumpstart (2016 to 2017), 32 issuers and 37 offerings under Issuance Express (August 2023 on). Final totals of $17.85 million reported on 13 offerings by 11 issuers. 6 offerings withdrawn; 6 displayed on November 5, 2026, 5 of them within their filed deadlines. Aptera Motors and VenHub Global later listed on Nasdaq.

Cancellation and liquidity

'Investors can always cancel their investment up to 48 hours before the deadline.' If an offering misses its target, the portal notifies investors and directs refunds. No secondary market; for the first year Reg CF shares can be transferred only to the issuer, an accredited investor, a family member or in a registered offering.

Court and regulatory record

No regulatory action or investor suit naming the portal, Issuance or its officers located. Novation Solutions (DealMaker) v. Issuance, Inc., Darren Marble and Crush Capital (C.D. Cal. 2:23-cv-00696): a competitor's false-advertising suit; on August 16, 2023 the court restrained the defendants from stating that DealMaker's platform does not offer 'checkout in under one minute' and denied other requested relief; the case ended December 21, 2023.

ASWho pays, and when

  • On a $500,000 raise at 7% plus a $10,000 flat fee, the company pays the portal $45,000, before accounting, legal and escrow costs.
  • The success fee is due at each closing, so rolling closes pay the portal as money is released; a flat fee may be due before any money is raised.
  • Bonus shares cost the company nothing in cash but are issued from the same offering, so they move value from investors who do not qualify to those who do.

Key Gaps & Non-Disclosures

  • Owner of 5% or more not named in the SEC registration since March 2023.
  • No amount raised located for 25 ended offerings.
  • No public record of investor repayments, distributions or exits.

Exit options

  • Sale or merger of the issuer
  • A later listing of the issuer's shares (Aptera and VenHub listed on Nasdaq; whether portal investors' securities became tradable was not traced)
  • Private sale, within the issuer's limits, after one year

Secondary market

Investment Structures

Common and non-voting stock

Most offerings displayed in November 2026 (Chicago Concours, Aeropay Express, World's Best Cocktails, EVII Mission Hills Class B). Returns depend on a later sale or listing; non-voting classes carry no say in the company.

SAFEs and Crowd SAFEs

Used by PlayersTV (Crowd SAFE, $25 million valuation cap), NexQloud, FireBot Labs, Ampicity and Nutcase Milk. A SAFE converts to shares only at a later priced round or sale.

LLC interests

151 Coffee (Class B non-voting shares at $150), FairwayPay (membership interests at $80), Super Studios, Nico Ventures, Cards & Coffee. Members may receive K-1s.

Jumpstart Micro era (2016 to 2017)

Small offerings of preferred stock, LLC units and one debt raise (REvolve Partners), with targets of $20,000 to $220,000.

Risk

Risk Structure

This is where the marketplace pitch gives way to the actual operating reality: delayed exits, limited disclosure, fee drag, and path-dependent outcomes.

Issuer-paid portal

The portal earns its fee only when an issuer raises, and its required screening covers disqualification and fraud risk, not investment merit.

Ownership disclosure

The SEC registration has named no 5% owner since the 2023 change of control; the site names Issuance, Inc.

Reporting after closing

Most ended offerings have no amount raised located in EDGAR, and several issuers with sales missed annual reports.

Bonus-share pricing

Size and timing bonuses mean investors in the same offering pay different effective prices.

Escrow history

Six escrow agents since 2016, including Prime Trust before its 2023 bankruptcy; North Capital since December 2023.

Losing track of the investment

25 of 38 ended offerings have no amount raised located in EDGAR, and 7 of 16 issuers with confirmed sales missed an annual report.

Why it matters

Investors have the Form C financials at the time of the offering and often little after it.

Mitigation / verification

Check the issuer's EDGAR filings for progress updates and annual reports from past raises before investing.

Early-stage company risk

Issuers are mostly young companies; Aptera reported a $34.9 million loss and EVII Mission Hills no revenue in their latest annual reports.

Why it matters

Equity and SAFE holders are paid last and can be diluted by later rounds.

Mitigation / verification

Read the Form C's financial statements, use of proceeds and capitalization table.

Uneven pricing

Bonus shares by size and date are common.

Why it matters

A small or late investor pays more per share than a large or early one in the same offering.

Mitigation / verification

Read the bonus terms in the Form C and on the offering page before choosing an amount.

No exit route

There is no secondary market on the portal.

Why it matters

Money is tied up until a sale, listing or buyback, which may never happen.

Mitigation / verification

Invest only what you can leave untouched for years.

Biggest Misconceptions & What Actually Happens

  • 'SEC-registered funding portal, FINRA member': registration is a license to host Reg CF offerings, not an endorsement of the offerings.
  • 'Issuance Express' vs. 'Issuance': the portal is Jumpstart Micro, Inc.; Issuance, Inc. is its parent and runs separate Reg A and Reg D technology.
  • 'Jumpstart Securities': an unrelated broker-dealer (CRD 156214, registration terminated May 2024), not part of the portal.
  • 'Crush Capital': a separate company led by Darren Marble at the same address, with a referral agreement with Issuance; its Reg A offering was withdrawn in April 2023. It was the third defendant in the DealMaker suit.
  • Two issuers listing on Nasdaq is a company milestone. It is not an investor exit or a measured return unless the securities sold through the portal can be traced into the listed shares, which AltStreet has not done.

Regulatory & Legal Posture

Security Status

Regulation Crowdfunding offerings (Securities Act section 4(a)(6)) through a registered funding portal.

Each issuer files a Form C with financial statements, progress updates and annual reports until it can terminate reporting.

Disclosure Quality

Good at the offering stage; thin after closing.

Custody Model

Investor funds are held by a qualified third-party escrow agent (North Capital Private Securities Corporation) until closing conditions are met; the portal does not hold investor money.

Regulatory Backing

SEC-registered funding portal and FINRA member (007-00008), no disciplinary history disclosed.

Tax Treatment

Reporting

Issuer-specific: shareholders of corporations receive tax forms only on dividends or sales; LLC members receive Schedule K-1s.

Set by each issuer; not stated by the portal.

Income Character

Capital gain or loss on a sale; ordinary income on any interest.

SAFEs generally have no tax event until conversion or a sale.

Limitation

LLC interests can create taxable income without cash; confirm with a tax adviser.

Account Suitability

Taxable

Available to taxable investors.

Roth IRA

Possible through a self-directed IRA custodian that accepts Reg CF securities.

Traditional IRA

Same as Roth; LLC interests can create UBTI.

HSA

Not suitable in practice.

AltStreet Data Layer

What the data actually shows

AltStreet read the portal's 15 registration filings and every EDGAR filing of its 41 issuers, including 1,791 scanned pages read by OCR.

Finding

Two eras, one registration

12 offerings from nine companies in 2016 and 2017 under Jumpstart Micro (one reported raise, $21,000), no new Form C from December 2017 to August 2023, then 37 offerings from 32 companies under Issuance Express.

What this means

The portal's track record is effectively three years long.

Finding

Fee ceiling rose after the sale

The registration's cash ceiling went from 6% (2016 to 2022) to up to 7% (February 2023), 8% (May 2023) and 10% plus $500 a month (December 2023). Actual Form C fees since 2023 run 5% to 7%.

What this means

Use the Form C, not the published range, to see what an issuer pays.

Warning

Outcomes missing

By SEC file number: 49 offerings, 6 withdrawn, 13 with a final total in a C-U, 5 within their filed deadline on November 5, 2026, and 25 ended with no amount raised located in EDGAR. The 25 come from 24 issuers, 19 of which have no C-U, C-AR or C-TR naming the portal. Four issuers (Because Coffee Ten, NexQloud, Wisdom.IO, Nutcase Milk) filed annual reports but no amount.

What this means

For most ended offerings, investors cannot tell from public filings whether the round succeeded. This is a gap in the public record; AltStreet does not assess which filings each issuer was required to make.

Finding

Annual reports

Of 16 issuers with confirmed sales and an annual report due by November 5, 2026 (fiscal year ends from EDGAR), 9 filed or lawfully terminated; 7 missed at least one, of which Aptera and VenHub file 10-Ks, PlayersTV and NexQloud filed later Form Cs on DealMaker, and Cornerstone Kids, Because Coffee Ten and McQueen Labs have no annual update located.

What this means

The larger issuers' financials are public by other routes; the smaller ones' are not.

Editorial View

AltStreet Perspective

The compressed version of the review: what matters, what marketing tends to obscure, and how we would frame the platform for a serious allocator.

Verdict

A registered, investor-free-to-use Reg CF portal that has grown fast under new ownership, with a thin public record after offerings close.

Positioning

Use it for small stakes in companies you can follow yourself, and read each Form C's fee and bonus terms.

The Bottom Line

Easy to join a round; hard to see how past rounds ended.

Action

Next Steps

If you still want to engage after reading the review, these are the practical next moves that reduce avoidable mistakes.

1

Open the Form C from the offering page and read the fee, bonus-share and use-of-proceeds sections.

2

Search the issuer on EDGAR for progress updates and annual reports from any earlier raise.

3

Pay by ACH if you want to avoid card cash-advance charges.

4

Frequently Asked Questions

High-intent search questions answered directly, without making users hunt through the full review.

Q

Is Issuance Express legit?

Yes. Jumpstart Micro, Inc., doing business as Issuance Express, is an SEC-registered funding portal and FINRA member (file no. 007-00008), its registration discloses no disciplinary history, and AltStreet located no regulatory action or investor lawsuit against it. Registration means it may host Reg CF offerings; it is not an endorsement of any deal.

Q

Is Issuance Express the same as Issuance.com?

No, but they are related. Issuance Express is the Reg CF funding portal, operated by Jumpstart Micro, Inc., a wholly-owned subsidiary of Issuance, Inc. according to its disclosures. Issuance.com is the parent's technology for Reg A and Reg D offerings. Jumpstart Micro ran the same portal under its own name from 2016 until a change of control in February 2023.

Q

What companies can I invest in on Issuance Express?

On November 5, 2026 the offerings page displayed 151 Coffee, EVII Mission Hills, Chicago Concours, Aeropay Express and World's Best Cocktails, each linked to its Form C, and also FairwayPay, whose filed deadline of October 31, 2026 had passed. Past issuers include Aptera Motors, VenHub Global, PlayersTV and UgenticAI.

Q

Do I have to be accredited to invest, and what's the minimum?

No. Anyone 18 or older can invest, within Reg CF limits (for most people, the greater of $2,500 or 5% of income or net worth over 12 months if either is under $124,000). Current minimums run from $50 (Chicago Concours) to $500 (Aeropay Express).

Q

Does Issuance Express charge investors a fee at checkout?

AltStreet found no portal fee for investors in the disclosures or the Form Cs it reviewed. You pay by card, ACH or USDC through Stripe. Some Form Cs warn that a card issuer may charge up to 5% or 6% if it treats the payment as a cash advance, so ACH avoids that cost.

Q

Can I cancel my investment and get my money back?

Yes, until 48 hours before the offering deadline: 'Investors can always cancel their investment up to 48 hours before the deadline.' After that, the commitment completes unless the issuer makes a material change, in which case you must reconfirm or your money is returned.

Q

What happens if the company doesn't hit its funding goal?

The offering is canceled and your money is returned from escrow. The portal says it will email each investor within five business days with the reason and the refund amount.

Q

Can I sell my shares after a year?

The Reg CF restriction ends after one year, but there is no secondary market on Issuance Express, and the company's documents may limit transfers. In practice, most investors wait for a sale or listing of the company.

Q

How much does it cost to raise money on Issuance Express?

Recent Form Cs show a cash success fee of 5% to 7% of the amount raised, owed only when the offering closes, sometimes with a flat fee of $2,495 or $10,000 that can be due up front. The portal's published ranges are an upfront fee of $1,000 to $10,000, a cash fee up to 8% (site) or 10% (SEC registration), up to 5% in securities, and pass-through escrow and bank costs. Accounting and legal work are separate.

Q

Will Issuance Express bring investors to my campaign?

Not by itself. Its issuer guide says 'Portal access does not promise investor demand or a successful raise' and that the company leads its own marketing; funding portals may not solicit purchases or recommend offerings.

Q

Does Issuance Express prepare and file my Form C?

Yes. The portal says it 'manages Form C production and filing', coordinating the company's CPA, counsel and other partners, and supports the deal page and investor onboarding. The company remains responsible for what the Form C says.

Q

How does Issuance Express compare with Wefunder or Netcapital?

All three are Reg CF portals paid mainly by issuers. Wefunder is far larger, with issuer fees of 5.0% to 7.9% in its recent Form Cs. Netcapital charges issuers a $5,000 listing fee and 4.9% of the raise plus a 1% equity fee, and investors nothing via ACH. Issuance Express is smaller and newer in its current form, with 5% to 7% plus flat fees. See the comparison section below.
